JPMORGAN INCOME & CAPITAL TRUST PLC ("the Company")

ANNUAL GENERAL MEETING 2017

The Board is pleased to announce that all of the resolutions put to shareholders at the Annual General Meeting today were passed, including the following items of Special Business:

1) to allow the Company to allot new Ordinary shares up to an aggregate nominal amount of GBP34,278, representing approximately 5% of the Ordinary issued share capital and GBP23,306, representing approximately 5% of the ZDP issues share capital;

2) to disapply pre-emption rights on the allotment of such new ordinary shares; and

3) to allow the Company to make market purchases of up to 10,276,661 Ordinary shares, representing 14.99% of the Ordinary issued share capital and up to 6,987,168 Zero Dividend Preference ("ZDP") shares, representing 14.99% of the ZDP issued share capital;
