Result of Extraordinary General Meeting

Further to the proposals to redomicile the investment business in the United Kingdom by way of transfer of the assets to Henderson Diversified Income Trust plc (the "New Company") which were announced on 3 March 2017, Henderson Diversified Income Limited (the "Company") announces that at the Extraordinary General Meeting held earlier today all resolutions proposed were duly passed as follows:

Resolution 1 - The Shareholders approved a second dividend of 1.25p (one point two five pence) per ordinary share in respect of the year ended 31 October 2017. The dividend will be paid on 30 June 2017 to shareholders on the register (the record date) on 21 April 2017. The shares will be quoted ex-dividend on 20 April 2017.

Resolution 2 (Special Resolution) - The Scheme contained in part 3 of the circular to Shareholders dated 3 March 2017 was approved and the liquidators appointed and authorised to implement the Scheme: and

The Company be wound up summarily in accordance with Chapter 2 of Part 21 of the Companies (Jersey) Law 1991 and Derek Neil Hyslop and Stuart Arthur Gardner of Ernst & Young LLP are hereby appointed as the Liquidators of the Company for the purposes of such winding up with power to act for the purpose of winding up the affairs and distributing the assets of the Company in accordance with the Scheme, and any power conferred on them by law or this resolution and any act required or authorised under any enactment to be done jointly or by each of them alone;

For the purposes of the Scheme, the aggregate value of the total net assets of the Company was GBP164.5 million at the close of business on 24 April 2017. Under the terms of the Scheme, shareholders in the Company ("Shareholders") will be issued one new ordinary share in the New Company ("New Shares") for each ordinary share held in the Company ("Ordinary Share"). On this basis 182,193,240 New Shares in aggregate will be issued to Shareholders under the Scheme. New Shares will be deemed to be issued at 88.9 pence, being the formula asset value per Ordinary Share under the Scheme as at 24 April 2017.

Share certificates in respect of the New Shares issued in certificated form will be sent to Shareholders during the week commencing 1 May 2017.The Company confirms that the listing of the Ordinary Shares on the Official List of the UK Listing Authority and the trading in the Ordinary Shares on the main market of the London Stock Exchange is to be cancelled with effect from 8.00 a.m. on 27 April 2017.
