Results of Shareholder Meetings and Rollover Elections

Shareholder Meetings

In connection with the proposals for the reconstruction, voluntary winding-up and rollover of Henderson Global Trust plc (the "Company") into Henderson International Income Trust plc and/or The Bankers Investment Trust PLC, the Board is pleased to announce that the special resolutions put forward at the Ordinary Share Class Meeting and the First General Meeting, both held today, have been approved by Shareholders.

A copy of the special resolutions from both meetings are available on the National Storage Mechanism at www.morningstar.co.uk/uk/nsm.

Rollover Elections

The Company received the following elections (including deemed elections) in connection with the Proposals:

   --     HINT Ordinary Shares:  22,663,984 Shares 
   --     BNKR Ordinary Share:  14,265,185 Shares 

Therefore, the Shares will be reclassified as follows:

-- Ordinary Shares with "A" rights, being the right to receive HINT Ordinary Shares: 22,663,984 Shares

-- Ordinary Shares with "B" rights, being the right to receive BNKR Ordinary Shares: 14,265,185 Shares

The amendment to the listing of Reclassified Shares and dealing in the Reclassified Shares is expected to commence at 08:00 on Wednesday 20 April 2016 and the listing and dealing in Reclassified Shares is expected to be suspended at 7:30 am on Thursday 21 April 2016. The expected timetable is set out below.
