                CES SOFTWARE PLC CLOSES ORDINARY SHARE OFFERING

                       DISSEMINATION IN THE UNITED STATES.

October 29, 2004 - London, England, CES Software plc ("CES" or the "Company"),
an AIM-quoted company (AIM:CES), a Toronto Stock Exchange listed company (TSX:
FUN) and a leading provider of skill gaming and betting exchange technology, is
pleased to announce that it has closed its previously announced public offering
of ordinary shares. The Company sold 14,000,000 ordinary shares at a price of
#1.40 per share for aggregate gross proceeds of #19,600,000. The ordinary shares
were qualified for distribution pursuant to a prospectus dated October 22, 2004.
This prospectus also qualified 2,230,500 ordinary shares which were issued
earlier today on the deemed exercise of 2,230,500 previously issued special
warrants. CIBC World Markets Inc., Canaccord Capital Corporation and Canaccord
Capital (Europe) Limited acted as agents in connection with the offering.
