Issue of Ordinary Shares

CES Software Plc ("the Company") has today applied for 113,334 Ordinary Shares
of 5 pence each in the Company to be admitted to trading on the Alternative
Investment Market of the London Stock Exchange ("AIM"). These shares will also
be listed on the Toronto Stock Exchange.

The shares have been issued by the Company at a price of 68 pence per share on
the exercise by Anatoly Plotkin a Director of the Company on 5 January 2005 of
options granted under the CES Software Plc 2003 Unapproved Executive Share
Option Scheme. Anatoly Plotkin's total holding following this exercise is
113,334 shares representing 0.27% of the issued share capital of the company.
