                              INTERESTS IN SHARES

BWA Group Plc announces that it has been notified that, following the Rights
Issue, Warpearby Investments Limited, The Thames Fund Limited, Natwest Ventures
Investments Limited and Bath Limited, underwriters to the Rights Issue, have
subscribed for respectively 144,000,000, 88,000,000, 24,000,000 and 42,000,000
New Ordinary Shares of 0.5p each. Mr Stephen Seymour, a sub-underwriter of
Warpearby Investments Limited, and who is to be treated as acting in concert
with it, has subscribed for 16,000,000 New Ordinary Shares of 0.5p each. As
previously announced Bath Limited has disposed of 21,000,000 New Ordinary Shares
in accordance with its undertaking to do so.

Accordingly (for the purpose of Section 199 of the Companies Act 1985) the
following shareholders are interested in the following shares of the Company:-

Bath Limited is a company connected with Mr Richard Battersby, a Director of the
Company. Accordingly Mr Battersby is to be treated as interested in 27,173,615
New Ordinary Shares of 0.5p each of the Company, representing 5.47% of the
issued share capital.
