                     BTR plc ("BTR")
                 Redemption of B Shares

BTR announces that on Monday 8 June 1998 it has redeemed
398,369,440 B Shares at their nominal value of 36.5 pence
each in accordance with instructions received from
shareholders during the Initial Redemption Period which
ended Friday 5 June 1998.

These shares, together with those redeemed on the Early
Redemption date, total 3,897,664,111 representing
approximately 95.5% of the B Shares issued as a result of
the capital reorganisation. Following redemption,
185,579,963 B Shares remain in issue.
