I'm not so sure the shares will fall back to 10p again, remembering that Naggar and co will hold in excess of 60% of the shares post the rights.(i'm sure with mates on board, they will know where a further large % are as well). As for the Unit, you could always forward sell your Ordinary share at say 12p, and then run the warrants. As you quite rightly point out, the gearing effect on the warrants of each penny movement in the Ords is enormous. I would like to think that the controlling shareholders would be targetting 15p as a level that they will cede control, with anything above a bonus. 03/9/2004 23:28 | OK - this is my reading of the position. You can buy a rights unit in the market for 14p. You then have to pay 10p to the company per unit so total cost is 24p. For that you get one share (current value 12p) plus 7 warrants (currently in the money by 2p). The warrants run for three years but the exercise price increases by approx 10% per year. On 21 Sep the shares and warrants will begin trading. The shares will perhaps fall back to 10p due to dilution. The warrants will then be "at the money" but must be worth around 2p as a minimum and perhaps 3p maximum. So the total minimum value is around 24p or current price. For your money you get a nice clean shell with 2.5 million cash, perhaps some tax losses and a SM quote. As the statement suggests, an entrepreneurs dream. If a "name" comes along to reverse into the company, the price races to 20p. Your 24p stake is then worth 20p times one plus 13p times seven. Or, rather a lot more than you paid. The more I study this, the more I like it. Risky of course but limited downside and a lot of up. PLEASE no press tips about this over the weekend! | barnetpeter | |
