                          ("Adorian" or the "Company")
                            Conversion of Loan Notes


The Company has accepted a request from Royalties Corporation for the conversion
of loan notes to the value of #17,000 and has agreed to allot 1,700,000 new
ordinary shares at 0.1p per share (the "Shares") to Bayshore Nominees Ltd in
accordance with the terms of the Loan Note Instrument.

The Shares will rank pari passu with all existing ordinary shares and
application is being made for the shares to be admitted to trading on AIM.
