New NAV figure of 222.8p per share post divi has led to further share price falls. As we are still 60p over the NAV it will be interesting if this falls further, or whether investors remain cooler and still quietly hope that in addition to the £5.57m net assets remaining after the divi payment they may get at least £0.96m in deferred sale proceeds and up to £1.74m for the performance fee provision, making £8m = 320p per share before any increase in value of the remaining companies is factored in.

PORTFOLIO UPDATE AND PROPOSED TENDER OFFER

Northern Investors Company PLC ("Northern Investors") announces the sale
of its investment in Control Risks Group Holdings Limited ("Control
Risks") for GBP7.30 million in cash. The directors' valuation of the
investment in Control Risks for the purposes of calculating Northern
Investors' unaudited net asset value as at 31 December 2015, which was
announced on 17 February 2016, was GBP7.30 million. Consequently there
is no change to the net asset value as a result of the sale.

On 2 March 2016 Northern Investors announced the sale of its investment
in Kitwave One Limited ("Kitwave") for initial cash proceeds of GBP8.14
million.

As previously announced, the directors intend to make a further
distribution of funds to shareholders by way of a tender offer.
Following the successful realisation of the investments in Kitwave and
Control Risks, the directors now envisage that the amount to be
distributed will be approximately GBP20 million. It is expected that a
circular giving details of the tender offer will be published on 8 March
2016 and that the ensuing re-purchase and cancellation of shares will be
completed by 31 March 2016.

Northern Investors has received initial cash proceeds of £8.14 million for its holding of ordinary shares and redeemable loan stock in Kitwave. The directors' valuation of the investment in Kitwave for the purposes of calculating the unaudited net asset value as at 31 December 2015, which was announced on 17 February 2016, was £7.62 million. The uplift in Northern Investors' net assets resulting from the realisation is therefore £0.52 million, equivalent to approximately 10.6 pence per share based on the 4,900,000 shares currently in issue.
Northern Investors may, subject to future performance and tax claims, become entitled to receive further sale proceeds of up to £1.13 million over the period to December 2017. These proceeds will be recognised in the financial statements as and when received.

I had a lot and tendered them all. As budsman said, in selftrade/equiniti we got 100%; in sippdeal it was 87.6%; in TDW it was 81.2%. Adding them in with the idealing and Halifax percentages posted above, these are seriously high numbers and suggest that the private investors with these popular brokers all thought much the same. It also suggests that other investors did not, and these included the directors! In retrospect I wish I had held on to more. I was trying to derisk what was a large position, so it's striking that so many NRI holders seem to see little risk in holding for more, even though the portfolio is now so concentrated.

Further to the announcement on 27 February 2015, Northern Investors
Company PLC ("the Company") confirms that a circular giving details of a
proposed tender offer to shareholders is expected to be published on 6
March 2015.

The tender price will be based on the Company's latest published net
asset value per share, adjusted for the costs of the tender offer.
Accordingly the Company is pleased to announce that the unaudited net
asset value per share as at 28 February 2015 was 506.3 pence.

Not strictly to do with Northern Investors but thought this would be the most appropriate place to pose the question. Does anyone own shares in the previously listed entity Brookwell Ltd (BKWD)? I purchased shares shortly before they de-listed (Mid 2013) in order to increase my exposure to NRI at a discount but have not received any of the distribution payments (10p Dec 13 & 20p May 14), just wondering whether anyone else is in a similar situation?

Well, Alliance has this morning credited my SIPP deposit account with cash equivalent to 100% of my holding in Northern Investors. I'll wait a couple of days until receiving written confirmation in letter/statement form.

Actually this is one of the reasons I use ATS, each and every deal/transaction I make is subsequently confirmed by post. Makes the admin side of things very easy.

As SBPike and a few others have mentioned - happy days. An interesting week, with Vodafone throwing money at me, and Northern Investors getting in on the act once again.

I too have my holding in NRI in a SIPP with Alliance, and good and able though that administrative platform based in Dundee is, they're pretty slow, so I have no choice but to await developments.

I opted for 100% in the tender offer, knowing full well (like all on this thread) that that would not be granted, but 40 odd per cent will do quite nicely for now.

Slightly OT - but somehow related, I'm tempted to put all this cash being hurled at me into City of London IT. As a holder since the late eighties, and only ever reinvesting dividends, my buying price is now down to about six shillings a share. And the 'running yield' is still over 5%. (Don't ask me what my starting yield is, or I'll be in the frame for a much better job than I have now, driving a fork lift truck...........).

Any suggestions welcome, and guys and girls, please keep up the good work, this thread is a pleasure to read, with no rampers and often very informed comment.

Hi Skyship

That's impressively quick by Sippdeal! Out of curiosity (as my NRI shares are held in my SIPP with Alliance Trust) I have a SIPP with Sippdeal, via the Share Centre - would the Nominee Account be at the Share Centre Level or Sippdeal?
I've found that playing the Nominee Account acceptance level has added a nice twist to my liquidating Investment Trusts.

I'm also v comfortable with Control Risks as a business (I had indirect contact with them in a former life), but no view as an investment, other than I feel NVM to be v competant investors.

I'm concerned not to become over exposed to Kerridge as I know next to nothing about them - and now realise I am way over my normal "per investment" limit in respect of them! So probably best not to rebuy unless there's cheap availability at some point - probably from Brookwell.

Northern Investors has received cash proceeds of £5.06 million for its holding of ordinary shares and loan stock in Alaric. The carrying value of the investment in Alaric in Northern Investors' unaudited half-yearly financial statements for the six months ended 30 September 2013, published on 12 November 2013, was £4.15 million. The uplift in Northern Investors' net assets resulting from the sale is therefore £0.91 million, equivalent to approximately 7.5p per share.

Northern Investors has also received accrued loan stock interest from Alaric totalling £0.34 million, equivalent (after providing for corporation tax) to approximately 2.1p per share, which was not recognised in the financial statements as at 30 September 2013.

Northern Investors may become entitled to receive further sale proceeds of up to £0.91 million over the period to December 2017, which will be recognised in the financial statements as and when received.

It was announced in Northern Investors' half-yearly report for the six months ended 30 September 2013 that the board intended to make a tender offer to shareholders in the early part of 2014. On 25 November 2013 it was further announced that the directors envisaged that the amount to be returned to shareholders through the tender offer would be not less than £7.0 million. As a result of the cash inflow from the sale of the holding in Alaric, the directors now estimate that the amount to be returned to shareholders through the tender offer will be not less than £12.0 million, to which will be added the proceeds of any further realisations which may be completed prior to the tender offer being made. As previously announced, it is expected that a circular giving details of the tender offer will be published in February 2014 and that the ensuing re-purchase and cancellation of shares will be completed by 31 March 2014.

Portfolio Update

Foresight VCT PLC ("Foresight VCT") announces the sale by its Ordinary Share Class of its investment in Alaric Systems Limited ("Alaric"), which provides payment processing and fraud prevention software, to a subsidiary of NCR Corporation.

Foresight VCT Ordinary Share Class has sold its investment of ordinary shares and loan stock in Alaric for GBP7.13 million, of which GBP1.12 million is held in escrow and in the absence of any claims against Alaric should become payable in tranches over the next four years. The carrying value of the investment in Alaric in Foresight VCT's interim management statement for the period ended 30 September 2013, published on 15 November 2013, was GBP6.375 million.

This represents a return of over five times original cost and 25% of the net asset value of Foresight VCT Ordinary Share Class as at 30 September 2013.

In consequence, the Board will be considering a further distribution to investors and will make an announcement in due course.

Seems decent news all round. As a holder of both NRI & FTV, this stuff puts a spring in my step. Especially - I have to say, in that FTV may well now pay a special dividend, tax free.

In terms of NRI the timing is interesting, with the tender offer ongoing.
