rights issue at what price?

do you know their mcap now? Near zilch, it's almost buying the company 80 times over compare to debt

its been said many times, dilution is priced in

those in under 5p will stand a chance in the reworked business, but outside of that, no chance

I'm puzzled where a dilution could come from with a mkt cap this size. Any money that the current management could raise from current shareholder (via a rights issue) would be peanuts for this company. Cash can be used to buy back debt at a discount (and has been). A debt for equity swap might be possible with some lenders, I guess.

Yell warns review will lead to shareholder dilution
Share

25 July 2012

Phone directories company Yell Group said it was considering options that may result in a dilution of existing shareholders' interests, as part of a capital structure review.

"The group intends to consult with its key stakeholders, including lenders and shareholders over the coming months in order to put in place an appropriate group capital structure within the current financial year," the company said, adding that no decision had been made yet.

Yell, which publishes paper phone books around the world, has been working to build on its digital offerings but continues to be weighed down by a massive load of debt. Net debt stood at £2.18 billion as of June 30.

In May, the company reported a massive £1.42 billion loss before tax for last year and said it appointed Goldman Sachs and Greenhill as advisers to assist it with putting in place a new capital structure.

For the first quarter ended June 30, Yell said revenue fell 15% to £331 million and that the adverse revenue and margin trends it reported in May continued to impact financial performance

Outlook

As previously announced, the Company is reviewing its capital structure. The Group intends to consult with its key stakeholders, including lenders and shareholders, over the coming months in order to put in place an appropriate Group capital structure within the current financial year. A number of options are being considered and, while no decision has been made yet, certain options may result in a dilution of existing shareholders' interests. Until this new capital structure is in place, the Group is unable to give a clear forecast of results for the current year, however, the adverse revenue and margin trends reported in May continue to impact our current and expected financial performance.

How can anyone be upset with the board when the message is clear!

There's a bit difference between administration and D4E due a breach of covenants, and it would be the company that can put itself in administration, it will be the bondholders if they recall their debts and of course yell does not have £2.2bn

The company is still cash generative, but the debt burden is unsustainable

spennysimmo 25 Jul'12 - 11:30 - 73676 of 73685

How much more monumental than formally sewing the seed for shareholder dilution would you like? I am sure that if the company announced administration someone would see it as a buying opportunity.
