Grant of Share Awards
XLMedia (AIM: XLM), a global digital performance publisher, announces that it has today granted share awards over a total of 3,982,848 ordinary shares in the Company under the XLMedia 2020 Global Share Incentive Plan (the "Awards"). The Awards represent 2.128% of the currently issued share capital of the Company.
The Awards were granted to persons discharging managerial responsibilities ("PDMRs") and are summarised below:

Both the RSU Award and the PSU Award are contingent rights to acquire shares for no consideration. The PSU Award is subject to a three-year performance period, with vesting subject to the achievement of performance measured by reference to total shareholder return over the performance period as compared to the FTSE AIM 100, followed by a two-year holding period. The RSU Awards, which have been granted to employees who are not members of the Company's board of directors, vest over three years. Clawback and malus provisions apply to the Awards.

o The Company is seeking to generate an increasing proportion of its revenue from more stable, regulated markets, both within current serviced verticals, such as gambling and personal finance and, over time, within additional target segments, where its core skills and scale can provide competitive advantage.
