Posted at 21/10/2024 06:16 by kooba $72.5m all told with 260m shares in issueNet about $50m cash So if on completion close to 15p per share or up 18p per share on earn out in cash…depending on costs associated with transaction and ongoing admin. So a cash shell to reverse something else into ..maybe not attractive in these smaller company markets or a cash distribution once all conditions met of low teens i would guess. Starting with first cash distribution before year end. Unsure how they might do that ..special dividend , share buyback to possibly a tender at nearer expected cash level ? The management seem to have done a decent job in finding good prices for the businesses and delivering a respectable exit in the circumstances. |

So the US business is trading at c.1x EBITDA without the potential earnout.The captial return may be in the form of a tender offer, buying a specific number of shares at a set price as opposed to an open market buy back or one-off dividend. |
