RE: WORTHINGTON GROUP PLC

The Board of Worthington Group plc announce that Joe Dwek CBE has today been
appointed Executive Chairman of the Company to succeed Henry Schuldenfrei.
Henry Schuldenfrei and Seymour Gorman (Non Executive Director) have both retired
from the Board in order to devote more time to their investment banking
interests.

John Taylor, Chief Executive of Jerome Group plc, a subsidiary of Worthington,
has been appointed Group Chief Executive and the Head Office of the Company will
be moving from Willesden, London to Shipley, West Yorkshire on 1 June 1999.

Roger Green FCA (55) has been appointed Senior Independent Non Executive
Director and will chair the Audit Committee and the Remuneration  Committee.  Mr
Green was Finance Director of Bodycote from 1972 to 1998, when he retired.  He
has vast experience in the textile and clothing sector.

Professor Peter Foster (68) has also been appointed a Non Executive Director.
Professor Foster was Vice Principal at UMIST and was Head of the Textile
Department at the University for 7 years.  He has 31 years industrial experience
mainly in the textile and clothing industry, particularly as Managing Director
of Universal Carbon Fibres Limited and Heathcoat Yarns & Fibres Limited of
Devon.  He was also Development Director at Coats Patons Plc.

All the above retirements and appointments shall take effect immediately.
