there should be no downside in the deal as they are protected from any loss and there is either a small to medium upside.

simply put they can buy MRI at 0.19...it's currently....0.26-0.27....

Yes Simon I agree...hence the "For obvious reasons I doubt they want to hold more than 40%."

so whatever happens they will imho sell the shares IF they are given the option to buy...

there are a few different scenarios

1.TAM sell all the shares and pay WET 0.01 Rand per share loan fee
2.TAM sell some shares and WET take up the 0.19 option on the remainder
3.TAM sell no shares and WET take up the 0.91 option on the full size

on both 2 and 3 WET will either sell at a profit or flat...

so WET will worse case make no profit but get their cash back or get their cash back plus the fee or get their cash back plus a profit (that could be lower or a lot higher than the fee)

I can't see WET taking >50% in MRI - one of the reasons for the transaction was to get the WUC technology in "South African" hands so as to look more favourable to the SA Govt. Taking the shareholding over 50% would surely mean that the WUC technology would be seen to be in foreign hands again.

There are 4 potential outcomes and 3 of them make WET money and 1 where they lose nothing and get their cash back.

They have an option to buy at 0.19 and if exercised and the stock is held then that would push them over the 50% (2.69 mill is 40% so at a rough guess 1.55 mill is another 25%).

However they have been indemnified from taking a loss on the stock so would be able to sell down even at less than 0.19p with no material effect. As MRI is currently trading 20% higher than that then there is a good chance to sell to either a single buyer or simply supply the market slowly until they stock is cleared down. For obvious reasons I doubt they want to hold more than 40%.

Hopefully we will get an rns on are after the 12th.

Question for an intelligent person out there.....if WET accept shares in lieu of the £1.5m repayment due them on 12th Sept would they not become the majority shareholder in MRI ?
