(Newbury, Berkshire - England) - July 25, 2024 - Vodafone Group Plc ("Vodafone" or the "Company") announces the final results of its previously announced cash tender offer to purchase up to $730,000,000 aggregate principal amount of its outstanding 4.375% Notes due February 2043 (the "2043 Notes") upon the terms of, and subject to the conditions in, the offer to purchase dated June 25, 2024 (the "Offer to Purchase").

On June 28, 2024, the Company closed the offering of $2,000,000,000 5.750% Notes due 2054 and $1,000,000,000 5.875% Notes due 2064 (together, the "New Notes"). The proceeds from the issuance of the New Notes, together with existing cash balances, are expected to fund the Maximum Tender Offers. As a result, the New Financing Condition has been satisfied with respect to the Maximum Tender Offers.

Given the reasonably good results ahead of expectations, and forgetting the noise from the derampers and so called ‘unbiased̵7; analysts; I am expecting the share price to be above 80p+ within the next few months.

Vodafone German business has sufficient levers to stabilize, Citi analyst Siyi He writes in a research note. However, "with pricing benefits lapping further, and step up in TV drags, German financial performance is likely to deteriorate meaningfully in second quarter," the analyst says. Looking forward, the impact of Nebenkostenprivileg changes--which includes mandatory cable TV or broadband charges in rental contracts in Germany, whether the service is used or not--will significantly deteriorate next quarter, with an expected impact at EUR400 million. Shares are down 2.3% at 68.80 pence

That will be a difficult one. A lot hangs on it. You've got BT/EE, Virgin/02. Why not Vodafone/3. Should make for three strong networks. That's the way I see it,but that's just me.
