UniVision (AIM: UVEL), announces that it has been informed by its Chairman, Stephen Koo, that he has entered into a non-binding Memorandum of Understanding ("MOU") with SinoCloud Group Limited, an investment holding company listed on the Catalyst Board of the Singapore Stock Exchange ("SinoCloud"), to sell SinoCloud 200,959,700 of his ordinary shareholding in UniVision (representing approximately 52.4% of the issued share capital of the Company) for a total consideration of HK$89,080,000 million (approximately GBP8.2 million); equivalent to a price of approximately 4.1 pence per Ordinary Share, payable in a combination of cash and new SinoCloud ordinary shares ("Proposed Transaction").
...if these preconditions are satisfied, the Proposed Transaction is not expected to complete until sometime in April 2021. As envisaged in the MOU, Stephen Koo would retain 78,744,000 Ordinary Shares in UniVision, representing 20.52% of the issued share capital, and remain as Executive Chairman.

May/ June 2015: Go To Former subsidiary LEADER SMART HOLDINGS LIMITED epic LSH for further information, previously on this thread. It is 7 years and 10 months since the holders of 49% of the Zhongshan Shopping Mall went into Arbitration - nothing from Leader Smart so far on the progress.
In June 2015 Leader Smart was hived off to shareholders in Univision on a one for one basis. The plan was to sell the interest in the shopping mall in Zhongshan once noted as worth £15 million to Leader Smart. - link now accessible.

UVEL whatever is said to the contrary has done well since hitting a low point in 2009 of 0.25p. Currently, at 1.6p there have been several opportunities to make a profit since then of up to 18 times the 0.25p.

A share not without its risks but longer-term holders have good reason to be satisfied by the performance overall plus the dividends.

The share price of Univision is becoming more volatile as the transaction to sell a majority holding in the company appears imminent. The options are for a successful conclusion, delay, or failure to complete.
Concern over nearly 5 years of quiet over Leader Smart Holdings Limited remains a distraction - needs an announcement by the company or explanation from Chairman Mr. Stephen Sin Mo Koo.

UVEL shares remain uncertain as to the outcome of the company's Chairman's transaction to sell his own shares and give the new party a controlling interest in the company and what hidden agreements there may be.
April has been given as probable final transaction date, all things being equal, however, there have been hiccups before so some nail chewing continues.
On the Leader Smart 2015 hiving off everything has been creepy quiet since 2016 and further concerns here add doubts that weigh heavy on the minds of some, may be very many?

If it does indeed go through, the share price could still be fairly stagnant.

The fact remains, the profit margins on contracts are extremely tight. Maybe Sincloud are thinking of pushing into different markets?? So you could be right in them knowing something nobody else does??

They obviously know something the market here does not !

As always over here there is zero patience all those that bought in on the news at 3p+ have sold for a loss.

If this deal goes through I think the price will get to 5-7p levels

Sorry dave4545....I was not saying buying in blocks on the open market would of been cheaper for Sincloud and I'm fully aware that they wouldn't of been able to....I'm saying the premium price of 4.1p seems a high...especially considering the profit margins on the contracts are extremely tight. Just my opinion.

dave4545, you are quite right, buying a big stake is not possible in UVEL and that has been the case since I first invested in 2011. Once I held 6,100,000 shares built up gradually - to buy that many at once would be difficult.

Start buying 250k blocks in Uvel with a means to getting 50% of the company, see how many you get before the price is 4.1p anyway !

The mm's would see you coming a mile off you would be lucky in this stock to get 10% trying to buy in the open market

I'm with Noirua on this...until something is decided with Leader Smart, I won't be re-investing in Univison.

It's going to be funny watch the herd pile in when that gets announced.

I mean in the old days if somebody bought a controlling interest for 4.1p the shares would go to 6-8p

Surely it's worth the gamble at 2p, it's still a decent business without this news

Sincloud appears to be willing to pay 4.1p a share to get a controlling stake in Univision and be in a position to integrate it closely to their company principally in Hong Kong. This might mean a change of policy as moves are likely to benefit Sincloud and they may have no interest in buying further shares.

Chairman Stephen Koo may or may not have in mind receiving the return of the loan made to Univision more quickly. This position increases the possibility of Mr. Koo advancing the position of Leader Smart Holdings Limited.
