02/5/2021 10:34 | RNS 3 March 2021 UniVision (AIM: UVEL), announces that it has been informed by its Chairman, Stephen Koo, that he has entered into a non-binding Memorandum of Understanding ("MOU") with SinoCloud Group Limited, an investment holding company listed on the Catalyst Board of the Singapore Stock Exchange ("SinoCloud"), to sell SinoCloud 200,959,700 of his ordinary shareholding in UniVision (representing approximately 52.4% of the issued share capital of the Company) for a total consideration of HK$89,080,000 million (approximately GBP8.2 million); equivalent to a price of approximately 4.1 pence per Ordinary Share, payable in a combination of cash and new SinoCloud ordinary shares ("Proposed Transaction"). ...if these preconditions are satisfied, the Proposed Transaction is not expected to complete until sometime in April 2021. Currently, at 1.6p there have been several opportunities to make a profit since then of up to 18 times the 0.25p. The fact remains, the profit margins on contracts are extremely tight. Maybe Sincloud are thinking of pushing into different markets?? 19/3/2021 14:20 | Sorry dave4545....I was not saying buying in blocks on the open market would of been cheaper for Sincloud and I'm fully aware that they wouldn't of been able to....I'm saying the premium price of 4.1p seems a high...especially considering the profit margins on the contracts are extremely tight. This might mean a change of policy as moves are likely to benefit Sincloud and they may have no interest in buying further shares. Chairman Stephen Koo may or may not have in mind receiving the return of the loan made to Univision more quickly.
