CTOwens asked to meet me for coffee as he knew I was v annoyed he didn't include me in placing and also lied that NOONE apart from DB was getting any 5p stockI had to leave within 5 minutes as couldn't listen to him..I like to be told the truth ..and he had the audacity to say he struck a great deal!! What's Owen ever done for USG except just pile up huge losses ? And he is awarded free warrants and options REWARD FOR FAILURE

A long time ago, I said the old fart had no idea about investing in an app that ever had little prospect of attracting anything more than a handful of kids. The AIM regulators had the actions of the board brought to their notice a longtime ago, when they failed to inform the market of what appeared to be changes in major transactions etc.

As normal though, they do nothing but it would take someone like you nico115 to say I was mislead into signing a lock-in, I wrote to you as regulators, you clearly have not taken any action, or a RNS would have been issued - I therefor will dispose of my holding without further notice, as you have failed in your duty to uphold market confidence.

Take me to Court if you wish, and put all your dirty washing out for all to see.

Then you will see the buffoon and his actions for what he clearly must be if your allegations are correct nico115.

However, it seems to me that while you complain you have become the ineffective complainer. The subject of the complaint is sometimes a condition over which the complainer has little control. However, by complaining about it, the individual gets the sense of gaining some control and—erroneously—feels mastery over something that cannot be mastered.

Ineffective complainers often see the glass as half-empty to protect themselves from disappointment. Their complaints are not so much about changing a situation, but more about creating a mental state—the complainer manages disappointment by setting their expectations quite low. For example, an actor who has been struggling with booking jobs might complain that auditions are never fair.

However it seems to me that you fall into the type of person that vents about a distressing situation to a group of like-minded individuals, it then has the potential to evolve into a brainstorming session that results in taking action. In addition, getting something off your chest can lessen the grip of angry or frustrated feelings. But constant venting with no action taken can turn into whining.

A great tweet just popped up on my Twitter If you are going to put a lot of money into any AIM share, find out everything you can about the company, it's board and it's employees to the point of obsession, bordering on stalking. Remember it's your dough and a large proportion of these guys are ,at best "ineffective".I would say the BOD here are totally "ineffective" especially Owens Ploughed million's of shareholders money into an app which is at best "hopeless"

No I'm suggesting that they are v close ..why else would you leave out the major shareholder who saved your investment I think it's wrong Owen looks after Kyte just cos they go back years and are v good buddies I'm the one who saved the company when Owens was desperate to raise money at 10p and I introduced him to RB

CTIs Owens going on a summer holiday with Kyte?Why the hell should Owens be allowed to give Kyte stock at a 400pct discount and leave out the shareholder who saved USG? Cos he's best friends with Kyte?Surely this is against Aim rules? Who do I speak to at Aim to complain?

On the contrary, members of the Cosa Nostra only look after family and more often than not are happy to make money out of "friends" no matter how unpopular they become, however most successful ones seem to be very well respected and loved by many.

Maybe RO and yourself would like to take your issues to arbitration, as men of honour and settle your issues?

One problem as far as I am concerned is that you say RO is not honourable, and that seems to be the problem, as it seems to me that he has failed in his duty towards all stakeholders, and failed to be penalised by the regulators, so one wonders if they too are part and parcel of the same organisation.

Yes CT absolutely I would mush rather be poor and popular than rich and unpopular How one treats friends and other human beings sums you up as a person Whenever you go to a funeral ..do you ever hear "wow he was rich"??!!Most certainly NOTHowever do you hear"he was such a nice guy"Most certainly YES If I ever had to screw a friend In order to make money I would rather be dead..I would never look to benefit financially by disadvantaging a friend

All shareholders should vote vs all resolutions The BOD are on astronomical salaries ,have awarded themselves loads of free options having never made any profit .The directors have invested over 1000000, 1 million pounds in a sports app that's worth 0pOwen was happy to take 500k from investors to fund the app ..and then at a 40pct discount let's his best mate David Kyte take ALL the placing stock available to share holders VOTE AGAINST ALL RESOLUTIONS VOTE FOR CHANGE ENOUGH OF US SHAREHOLDERS GETTING SHAFTED

Just spoke to Norman who also said he is voting against all resolutions He is also disgraced by events here I hope all shareholders vote vs all resolutions and show OWEN it's blatantly wrong to treat shareholders with such contempt

CTYes let's see if there is KarmaThere were only 2 other major shareholders who Owen should have offered stock to..me and James Shulman(supposedly a long time family friend of RO)So why didn't he offer us 30k each?Why did he give the whole 90k to Kyte?It was only a few weeks earlier that Owen was moaning about Kyte..why the sudden change of heart?Kyte never invested a penny at 10pWhy did Owen tell me "we will ALL get diluted"Why did he lie?Karma..yes I know Owen should be punished but will he be? Not in that way nico - a) you have lost nothing finincial to date. b)Bearing in mind your considerable wealth (researched):-) to say is has ruined your family`s wealth and future - is rather far fetched imo. c) if you did lose it all, you still cannot be sure of those things, sometimes when someone or a number of people do the dirty on you it turns out to be of benefit, as Karma plays it`s part - from one that has been there and done that.

In my case Karma played its part - One died at 54 years old the other at around 60 years old,within weeks and several more have suffered other issues that I would not have wished to have worrying me for well over 10 years and still do, and fortune played it`s part.

I wish you well, and do not like to see anyone suffer losses through lies and deceptive actions of others.Those people should hang their heads in shame, they are nothing more than guttersnipes.

Karma also means perpetual succession of cause and effect where every effect is a new cause.

LOL - Rather than that nico I suggest this:

"I am sorry to inform all stakeholders that I along with the rest of the BoD am unable to run this company and make a profit for shareholders. However, I have as you will be aware been successful in raising funds from Nico and co that I along with the CEO of the company, squandered away most of the funding's on projects that I had no idea about (on-line website)while drawing decent salaries and expenses for the whole team around me.

Nico was kind enough to introduce another hi-worth investor to inject around half a million more, on the basis that has been clearly stated in the funding documents. As a reward for this, my team kindly awarded me more options, that hopefully I will live long enough to see them be of any value (because I am getting on you know), and to give the team around me along with the new investor, another last ditch attempt to do better than we have in the past.

We had all thought about resigning but as we and our major investors control the company, and are supportive, and we can count on their votes not to remove us all, and replace us with " ---- -----" and a new BoD, who believes the private investor/stakeholders would welcome, as the only rewards they would expect, would be expenses and a large number of share options, once the company becomes profitable.

As the majority of large stakeholders support me and my team, in having another go, Nico can thank me for not allowing him to invest any more of his funds at 5p, as I and my team might (in fact based on past history), flit away the current balance of the cash in the kitty, which I of course have not mentioned in my statement what it stands at today's date - which is will be some six months on, because if I were to have let on the current available cash, some stakeholders may decide a change is needed.

You will notice a number of issues in the accounts, like the loan of £220,000 to subsidiaries at 7.5% interest and payable on demand - I do not wish to let you know if we think those subs have the cash to pay it back, so the loans will remain on the books as an asset, and we have not converted it into 50 million shares because if we did the 7.5% interest would no longer be payable, and that is over £15k a year.

The sale of shares, that I failed to notify stakeholders of - I am sorry but in any case the AEO ones have gone down, so I saved the company from that small loss.

In view of what the new investor may bring to the table, I guess some of you will be thinking, will they sell off any parts of the company they can, so to inject extra funds into the new enterprise that maybe entered into, well that`s for you to guess and us to know.

So folks stick with us, it will be alright in the end (we hope)."

This is what Owen should've said "This is another appalling set of results by USG under my stewardship (USG have never made a penny)and for that I apologise.I have granted myself loads of free options(a reward for failure)May I take this opportunity of thanking Nico for investing 350k into USG which saved our company from oblivion and also for introducing me to RB which hopefully will mean my shares will be worth something.I quickly forgot about all NIco had done for me as I left him out of the fundraise(as well as pretending RB was investing 100pct I'd raise at 5p) as wanted to look after another major shareholder as he is a very good friend of mine.I apologise for shafting Nico,there is no excuse R Owen "CT,totally agree it's awful behaviour from a director of an AIM Director
