Short feedback from yesterday's AGM:

Meeting itself was quite formal (unsurprising given background). Board had arranged for a shareholder lunch after the AGM to ask questions individually which I also joined. Several shareholders also asked for a brief Q&A in the formal meeting which was granted. (Some questions are best asked in an open forum IMO.) Points raised, to the best of my recollection:

- Current Strategy - return the company to previous levels of turnover & profitability. My opinion: probably a big ask in the current climate but the company is approaching it in the right manner by increasing consultant headcount and focussing on being a trusted partner who can deliver. Probably could do with a bit more specialism rather than aiming to deliver everything to everyone.

Corporate Governance - Plans to add another independent non-exec to replace the retiring director. Not necessarily someone from IT background, more important to get someone willing to challenge exec board and ensure accountability.

- Cash balance - no plans to distribute beyond normal dividends. Want the company to be rock solid and cash gives them the ability to weather any storm. My opinion: I still think they are overcapitilised in the short term but can understand why they may be cautious given the current political climate.

- Shareholder Communication - They recognise that the company is very lowly rated by the market but weren't willing to commit to specific actions to address this, although they may be open to commissioning a broker's note at some point or maybe attending an investor event. My opinion: I still think reporting trading statements, as well as just results, would help - although they made the point that the business can be hard to forecast so trading statements may add little understanding to the market.

- Other tidbits - Don't use recruitment agencies so if they make contractors permanent they don't have to pay out big fees. Industry reputation is very important to them, for example, won't bid for fixed cost tenders because of the risk that scope-creep damages their reputation for delivery.

In summary, I left with the opinion that this is a very conservatively run company, with a board and staff that are very committed to its long-term success and would not do anything that would undermine that future. This is in sharp contrast to the way that the company has been portrayed by some people. That said, this is a company that will pursue success in its own way, and given the shareholder register, smaller shareholders will probably have little influence on how the company operates in terms of cash holdings, market communications etc. If you can live with that reality I think the potential cash flow characteristics of the company make this a compelling long-term, investment albeit one that will require some patience.

I don’t know, as I am not from a legal background but hopefully, submitting false details regarding share holdings to AGM’s is illegal. Everyone knows that Mira no longer holds 4,507,951 shares as some of her holding was sold to cover her debt that she refused to pay but was forced to when made a bankrupt. When are these false and damaging posts going to stop.
