Pre-emption rights are the right for existing shareholders to have first refusal in providing new share capital ie if you own 1% of a company seeking to raise £100, then, if you have preemption rights, you are entitled to subscribe up to £1 for new shares (there may also be provisions for over subscripton etc, but that is something else). The existence of preemption rights would prevent a company carrying out a placing to raise capital from third parties because the shares would have to be offered first to existing shareholders, so companies usually seek their shareholders' authority to waive them. It doesn't mean they are planning a placing, but that they have the flexibility to so if necessary eg if they were making an acquisition. | chorister | |
