NB GROAT is senior independent director of Baronsmead VCT and could there be a conflict of interest!

Eg MBO's or other sell outs.

Who knows why West was chairman for a few months and left coinciding with resignation of Benger? Strange ??

Groat should consider PRINCIPLE 2 of the company's governance.

Groat should also require all directors to buy shares in the company or tell us why NOT?

If Groat can't earn his crust to shareholders reasonable expections, then ...

Finally he must respect shareholders, not treat them with .....

Yes quite right re share ownership. But if he is worth his salt he will not want to be seen as Chairman of an unsuccessful company which will blot his track record. And there are serious communication failings on his part for which he could be held to account.

Now there may be problems across the Board, sharp divisions over tactics and maybe he and Potter are at loggerheads. But he should insist Potter issues regular updates.

True Tomco does not hold all the cards and relationships in the field may be difficult to manage but Groat must get on top of this fast and satisfy shareholders OR go.

I have only done it at one AGM meeting, saying i ask for a vote of no confidence in a director, Talk about lighting the touch paper.

Another problem lopodop, none of the directors own any shares worth talking
about, so the share price is irrelevant to them.

The problem lies with directors not being in tune with shareholders. Shabby treatment usually means shabby Boards in a lot of cases.
People like Groat have other jobs so their focus is diluted.
The share price should be telling him something but it's too easy money. He should be worried!
Be alert for board changes.

Well with TOM now to sell at 00.42 the only change is in the rns today, so the proof is in the pudding, as they say. Directors who are incapable of updates or a capacity to write an rns.
