Good that they increased to USD10m their RCF and extended it to 2028 before SVB as I guess Midcap would have been affected by the tightening of conditions after SVB.
I am going on the basis that they have sufficient financial flexibity that they will not see an Equity raise although we will need to focus on the financial expense line in the P&L given increased interest rates.

Collateralized loan note.

It's a loan that pays interest and/or issues share in the company in exchange for the lender taking part. There can be a redemption date where the borrowing is paid back via issued shares, or some per year.

The exact terms vary depending on the borrower and they can vary widely. The lenders can be offered a variety of ways to achieve a benefit. Sometimes the major shareholders influence how it is packaged.

It is not the same as issuing discounted shares into the market. I took part in the CRX offering and TRX might make a decent candidate for raising that way especially given the share register.

From memory Mills (Harwood), Sneller (Inthallo) and Griffiths were all on the CRX register and took part. Guess who is on the TRX register.

Any chance of a CLN instead, open to existing holders.
If you look at the major holders (x-IPO) but inc Inthallo (Richard Sneller) it is the same as CRX.
CRX went down the CLN route.
There is something to be said for it.

Let us look forward to the results and what news maybe bounced upon investors when they are disclosed.

The TS stated they had sufficient cash for their current trading plans but will they raise funds for an new plan to expand, and was consolidating the real reason to enable a discounting raise to be able to be achieved?

Bearing in mind the stated growth the shares are trading poorly imo. So what’s been holding them back?

I will wait before investing, as I have mentioned before I believe there will be a heavily discounted raise.

In my view a maiden profit of between 2-3 million should mean no need for another fund raise and hopefully they use the money to continue to grow in future years but I am confident that they could become a takeover target at this point and the directors should be buying more shares to protect their position further good news flow should see this over 1 pound in the next year or so

Agreed PJ84 but I did not like the way they worded the statement "sufficient to support the current business growth plans"

You know how new plans evolve out of the blue, and things change. I was always concerned the consolidation would lead to a cash raise, so although I think there is potential to go a lot higher, I will be cashing out my chips once again before very long, as I do not want to find out one morning that the share price has gone from 75p (which it hopefully will hit this time) back to 40p.

From the last accounts for the year ended December 2022 the cashflow statement showed that cash reduced by just under £1.5m during the year and at the end of the year they had cash of just under £6m, so at that rate the cash should be sufficient for up to 4 years other things being equal. However, they are expecting revenue to increase and hence losses and cash burn to reduce.

Whilst the RNS only said “The Group's cash position remains sufficient to support the current business growth plans.” There doesn’t appear to be any reason to think they will need more cash in the near term and when looking at the current assets they had £22m (incl £6m cash) and current liabilities of £6.6m. So with net current assets of over £15m I have no reason to doubt they have sufficient resources to enable them to reach profitability.

Decent increase in revenue and nice to see the uplift but I wish they had stated the true cash position not just what they did have to say about it.

Should as I say mean a maiden profit this year and the Australian deal should add to the the year end nicely Hope to see the share price going in the same direction after very little uplift on the news??!!

I will be happy with modest improvement in current challenging markets. Most of the new distribution agreements I think require regulatory approval so great things on the way - hope you are right of course but continued steady progress will do me with hopefully much faster growth on the way. Of course could be bought out at any time
