@Philjeans do you think a loan from TERN to DA if not repaid by DA should convert into TERN shares? That's a pretty ingenious way for TERN to just destroy cash isn't it? They can issue new shares whenever they like normally they'd want something in return for the dilution that incurred.

philjeans you numptie the loan is converted into DA shares not TERN shares. You also have your decimal point wrong and a conversion ratio is not a share price anyway.

I am truly amazed at the level of competence on this board.

It's very pertinent that the conversion price for the loan is at 36.7p - NOT THE 5P THAT SHAK/RIOT ETC PRETEND DA IS WORTH!

So it's obvious the true value is at least 36p - and, in truth, more like £36 !!

StillWaiting always possible that DA is sold but for how much. None of these global businesses wanted to take a large stake in DA at $30m so I guess they wouldn't value it currently at more. Why wouldn't they have done so if it is as you suggest essential to security for IoT? What better place at for a Thales to lock themselves into pole position in IoT security.

I'll be generous though and give it an eyewatering valuation of $50m. Founder members get the first 25% so that leaves $37.5m then there is tax to pay on the sale at around 20% so $30m left they own just over 50% so in round numbers $15m net or sat £12m Vs TERN market cap of £90m.

Happy to admit I'm too pessimistic if you can show other software company valuations in the same sector which are pre sales etc. going for far more.

DA have some certificate/key management and maintenance software. It's not unique but it does have some value. They are a tiny niche player in a much bigger industry. They have some collaboration deals with bigger companies but there has been no credible estimated sales given for these possible collaboration agreements.

Tern could be involved in providing the Qualifying Investment of more than $2.5M. As shareholders we would have pre-emption rights on any investment How about agreeing to the investment for $2.5m - then elect to take the loan monies back (we get 300% original value of the loan)?

Recent High 57p, current price 33p

Thales blueprint now being marketed, Comodo launch to come followed by the likes of Intel, Gemalto, Microsoft, Eonti etc etc

So much bubbling in the background as well, a great time for tern to start appearing in the press imho.

RNS on 11 June 2018 saw a third tranche of Tern convertible loans. Total $1,175,867 as at that date. This also stated that the maturity date was extended from 30 June 2018 to 28 September 2018.

It doez appear that there has not besn To much attention given to all the new partners The thales and device authority blue print is going to be amazing going forward. But i am sorry that i mentioned it because i do not wish to detract from this weekends scare mongering..ps i wish the scare mongers lots of luck because a big percentage of tern is owned by the loyal holders on this thread and no one is selling. Keep trying as you are very trying. Mms cannot get stock either.

The 36.7p is the price for Class A preference share of DA, not Tern.

Haha, I stand corrected, Loglorry pointed out it is 3.67p, I just took your figure to be correct, so wrong on 2 points. Anyway, I take it your optimistic for the week ahead.

Go further North to Bude from Newquay, the beaches are better and the cliffs are breathtaking, with a lot less development. I actually have my childhood home at Widemouth Bay where the family holiday business is located. It's based on a farm with barn converted cottages and others down at Widemouth Bay. There is an outside swimming pool, tennis court, putting green,games room,ancient woods and you can walk through the farmland down to nearly the beach missing out the road around half mile from the beach.

Mudbath, I took it as a reference to the $2.5m in the previous paragraph and it appears to mean that DA can opt for an exit but Tern dictate the terms. I could be wrong. I'm not an expert in the minutiae.

What do you think?
