Tie, I suspect many here are left wondering how this will pan-out' (no pun intended)
There is just too little info at this time to assume a measly 300k is the panacea to Tecteons lack lustre performance to-date.
Some earlier (fag packet) calculations were attempted but fully conceded more research and info was needed.
There are many mining experts on advfn, some of which I know and could ask to cast their eye over this latest announcement. Fact is they would ask more questions of which we just don't have the answers at this time.

Further, they said >>

"Since the Transaction involves the commencement of a new strategy for the Company the Board has elected to make the Transaction subject to the approval of the Company's shareholders. The Directors intend the signing of the joint venture to be the first stage in the development of the Company as a trader in and processor of base metals and a circular convening a general meeting of the Company to approve the Transaction will be posted to shareholders in due course.

The proposed joint venture between Tecteon and Zamcu will involve the financing and off take of copper, zinc and lead for sale in China. The directors of Tecteon expect approximately 3,000 to 6,000 tons of copper to be financed and sold per month and 3,000 tons of both zinc and lead. Tecteon and Zamcu will be entitled to share of the profits from the joint venture's trading activities on the basis of 60% / 40% respectively.

In order to provide the finance for this new activity and provide additional capital for the existing voice quality technologies business, the Directors have agreed to take an unsecured loan of #300,000 from Quazer Group Corporation, ("the Lender").

The loan from the Lender carries interest at the rate of 8% per annum and is repayable on 31 October 2008 unless converted before then, at the option of either party, in whole or in part into new Ordinary Shares of Tecteon plc at a conversion price of 1 ordinary share for each 1p of loan converted.

In addition, the Lender is entitled to subscribe for one Warrant for every Ordinary share so converted by paying 1p per Warrant. The exercise price of the Warrants will be 1p per share and the warrants will expire one year after issue."

This observation will go down like a lead brick of course (did I say lead LOL) yet I remain optimistic our deal-maker just may retrieve his reputation if all goes well......or as 'suggested'!

thanks - our first ever mention to their readers no doubt, but as NR explains the non mining experts are still now at about as much disadvantage as before the release in knowing what the share price shoud be after the news. if you have worked in the industry and know the margins and can deduce an approximate operating profitability you can happily know what the target share price should be from 1p to whatever (4p or who knows?). A long termer like me remains marooned as if we continue upwards I still do not know whether I am supposed to be buying at these levels or not!

All,

To clarify, I have 3.5m shares left. I made a loss on selling 5m shares but have already made that up on EPO and PRM plus (even ignoring the tax loss benefit on TEO in addition).

The logic of my sales were that the deal has given an opportunity to decide what to do.

I made the decision that in my long term portfolios, pension and trust funds, that I would rather be holding PRM than TEO, because I understand what PRM is about in the next few weeks and months and years and I think I can just leave that to grow hopefully very significantly. PRM has already risen after my purchases.

I am not so sure on TEO, but I have not given up on TEO and am holding a large chunk by most people's standards.

I can still benefit substantially if there are more positive developments and I fully support Alikhani in trying to give value to TEO shareholders.

There is an argument that because of my sales some have been able to add at a lower cost than without and any brake on the price should only be temporary if developments are positive.

The gamble I took was in not knowing the value of the jv in Africa and the residual value of the tech business - it could be much more than 1p per share. I hope it is.

I will not cry if TEO rockets - I am sure my EPO and PRM will do very well for me - but will be happy I have 3.5m shares and can participate in the fun and be happy that you lot too are doing well from the rise.

Chinese new venture - strong growth area, foot in door, opening new opporunities. One silly speculative business deal in China atm will do wonder to the share price
Vq - who dare to say they are not working on stereo VQ stack, a project they were working on since start of 2007? Qstik Evoq, top 10 seller in Mobilefun website,top most expansive bluetooth on list, not bad going?
Won't be surprise that TEO will work out an alternative deal with Qstik afterall. Who to say no?
All my shares in tack. Back to hybernate and hope for better time to come.

If your figures are roughly accurate there is little wonder why a few on here think 3-4p is possible.Definately worth a punt at 1p I may buy a few more on Monday if it opens around 1.2 to buy which it probably will.

If anyone was having the tiniest weeniest doubt about the need to run a mile from vq read the results out this week from what was not that long ago one of the world leaders in vq for voip who provide skype etc with this major fundraising and the results appear in para 3 of page 1....I bet they are wishing for a mining engineer on their board!

Agree, it's hard to work out any numbers here.

Somebody mentioned figures this morning based on the current prices
of the commodities involved and he came up with between 5-8 mil USD's
worth a month, say if you go in the middle then it's say 6 mil's worth
or £3mil a month, let just guess it's 10% operating margins and 5% of
that is admin costs that would leave 150k profit a month, Teo get 60%
of that and it's 90k a month, that would be a 1 mil a year which of
course would make a company worth 2-3 mil looking cheap (edit)

However i'm really clutching at straws here, i've only done this as you
have to try and get some real numbers debate going here !?!

The RNS can easily be read to mean that it is copper concentrate rather than copper that they are talking about. The first paragraph referes to 18,000 tons/m of ORE including copper etc. The third paragraph refers only to 3000,6000,3000 tons/m of copper and lead, and I would take it as 3000 tons EACH of zinc and lead. Which might prove just to be inaccurate wording.

Well folks the total annual zambian production of copper a couple of years back (2005) was 400k tons so we are talking about at the top end up to we are involved with what was near enough 20% of the countries output!
All for £300k - is this the greatest bargain ever or ........please someone else start some not tech cut and pastes to identify the latest state of the copper market....go on I dare you!

I hope I have wound up some expert to throw some enormous wet blanket on all this....

maths question for you experts:

Wait until monday we should see this up again .If the share price is up 75% when over 5 million shares were absorbed by the market in 2 hours there is real strength in the share price This didnt retrace either on profit taking expect much the same Monday I think Notreadys holding the remainder to see what happens so if no one else sells the shares will be in demand.Should be intersting if nothing else my guess is 1.5p sometime Monday.

I think that it is 3.5m left, in which case NR sold 5.1m out of total sales today of 9m. It would indeed have been interesting what might have happened if she had not sold, but then there must be an awful lot of sad TEO holders who will sell a slice into the rise. But NR has finished. In a way TEO is like an (un?)cash shell in which the size of the other party is crucial. If our £2m cap is trivial compared to the other goings on then who is going to care if we make a monster % gain on our £2m? It would be of little relevance to them. But if they are small then we would hardly expect to benefit much. So far £300,000 is not exactly enormous. In fact it is so tiny that it is hardly worth the trouble of setting up the deal. Unless it were the starter of more interesting things. Who knows?

£40k plus was a ride too far being dragged round Mordor. S..t or bust...eh.. It's always darkest before the dawn!

Good on you Smelly, I hope you are proved right, and that all the faithful end up making money against all hope. Everyone to his own, but I hope we make money not lose it. I am no trader, good luck to NR if she can pull it off.

Zamcu is controlled by Minerale Afrique, which holds the licence to recover 18,000 tons per month of ores and transport them to South Africa for sale.

Well QS what a turn around. A business he knows and being a dealmaker in these territories I think he is one to back. Cape is looking on the side of cheap as well. Could be a good year 2008 for MA and holders.
