I read the Torygraph on Sunday. I liked the way they said "we should have updated readers sooner as the last update was a year ago" I should think thats the understatement of the year! Torygraphs share tip of 2001!!! & the mails for this year! Sheep!!.

Anyway, i dont know much about Zap casino but on the basis that the internet has millions of casinos on it and i can start one myself for about £250, if all thats left is an online casino i would take what ever cash you can get your hands on if you get the chance and take the wife out for a burger!

By the looks of things Infamous Academy gbm will be either sold off or closed this week,leaving the founders of gin in a position to refinance the business to become a casino operator,that will mean a further placing if the creditors buy the idea.So we get dilluted again but this time we hold a profitable business but how profitable will depend on whether this gets finance or not imo.

I did not see this article in Telegraph. Do you mean that GIN & its directors are hoping to go forward with the casino idea, or are shareholders to be pegged out to dry again, paying the price for the GoBarkingMad/RedButtonRacing farce, whilst former directors of GIN get on with the next one?

Anyone see yesterdays Telegraph the founders of gin are now hopeing to establish a casino business now that the gbm farce is over.
So what does that mean? How much profit does the zapcasino make or is this another load of cr@p like gbm just to keep the directors in their jobs for a few
more years until the cash runs out again.

Not sure but it seems a number of staff have walked out of Hoodless Brennan. That´s what I have been told. Personally I don´t rate their performance at all.

Found this interesting read on Company Law & Personal Liabilities of Company Directors



7.1 Ratification by the Shareholders

Some breaches may be remedied through the director's conduct being disclosed to a general meeting and being ratified by the shareholders passing an Ordinary Resolution.

However, the following breaches of duty cannot thus be ratified:

(a) Any breach involving a failure of honesty on the director's part;

(b) Any breach of duty which results in the company performing an act which it cannot lawfully do e.g by reason of some prohibition imposed by statute or the general law;

(c) Any breach of duty which results in the company performing an act not in adherence with the company's articles;

(d) A breach of duty bearing directly upon the personal rights of the individual shareholders;

(e) A breach of duty involving "fraud on the minority".

Another example of breach of Company Law, is where the Director authorises actions ,which may be prejudicial to minority shareholders.

My contact in Hoodless Brennan (Daniel) has gone missing recently. Despite several attempts they refuse to return the calls and have switched on voice mail. Most unusual during trading hours. This never happened pre GIN.

Action should be taken against Hoodless Brennan and this would be an excellent place and time to start.

An action group thread will be set up on Monday I smell fraud here.Out of the 4
million quid they didnt even pay any debts where is the money?
burnrate if Nigel Robertson had been selling his shares it would have to of been notified to the stock exchange.
Why hasnt this been liquidated yet I dont get it.As for the money owed to sky australia this has been common knowledge since last December when they pulled the plug I just thought they had settled with the money from the rights issues
I suggest we all stick together start an action group thread and start gaining evidence directors can be sued for mismanagement of companys funds.

This is very bad news indeed.

Would you mind me asking what is your involvement here, please? Shareholder, creditor, employee? Maybe a bit of each?

Trading insolvent springs to mind, in which case the recent rights issue almost certainly has to have been undertaken in someone´s full knowledge of the company´s dire predicament. Has anybody got a prospectus for this, at all? What were investors told?

I think you should be venting your anger at Nigel Robertson and his merry men. David, as far as I can gather has just been a puppet in all of this. Nigel has been hell bent on GBM and in my opinion is responsible for the £8m+ spend on this. As a point of interest KeyMS which developed GBM is owned by Nigel Robertson's brother-in-law.

The only assets that they have which are worth saving is the casino software which cost £2m to develop by Force Internet (which again I think Mr. Robertson had a share holding), and Racing Network which has a massive uses base and actually generates a small profit.

There have been an awful lot of big trades in the past 8 months, maybe someone should look into who has been selling. I reckon it would make for interesting reading!!!

I'm not going to let this die without finding out who has been selling, and if it was any of the directors then I will find out.

In all the time I have been an investor in this company, the statements have always been very bullish.Now we know that these same statements have all just been a pack of filthy lies showing the directors to be no more than ........

For that statment alone Sanderson should be well and truly hung out to dry. All these statements have now been found to be fraudulent, IE: using false representation to obtain unjust advantages.

I for one would be willing to join an Action Group. Just post if anyone else is interested. I have lost 10K on this, not a lot but thats not the point. If only we lived in some third world country we could just execute him and be done with it.
