The LTIP for Jon/Paul has one of its conditions/targets as Adj FCF of no less than GBP36.6m with an upper target (for 100% payout) of GBP 41.2m Adj. FCF by 2025 (p. 119) Looking through the 2022 accounts there were some major adjustments last year incl. GBP 4.4m provision for McColls, GBP 2.5m of one-off admin fees related to the (now concluded) transformation plan (which had been running in 2021 also) and GBP 2.4m of fee related to the bank refinancing (no further costs will be incurred in 2023). Also, with the Group likely to be net cash by year end, interest costs will have reduced by say another GBP 1.5m (same reduction from 2021 to 2022) and will reduce further in 2024. The summary of this is an estimated sustainable FCF for 2023 of around GBP34m, valuing the Group at just 3.5x FCF. These numbers differ from Edison's Nov 2022 note and perhaps ive got my tax figure and CAPEX too low but time will tell. So the lower end of the LTIP doesn't look very challenging but it demonstrates the likely ongoing FCF of the Group from 2023 onwards where I am not expecting any further major adjustments. Despite the recent re-rating from 30p, this had to be a valuation anomaly with the rest of my holdings in my portfolio on a P/FCF of between 8 and 28. Yes top line is declining but the Annual Report makes some reassuring noises that mgt should be able to scale some of the adjacent service offerings to backfill the core biz decline. With anticipation of some significant cash returns to shareholders from SNWS over the coming years I look forward to 2023 with confidence. My 2nd largest holding.
