Keep dreaming.

"Fundamentally sound" when they have tons of goodwill and a profits warning ?

This company is fundamentally sound. Yes, they will make some tough decisions in the short term (cost cutting), but that's what's required. Have a look at the RSI. I started buying this morning. I will buy more as the stock rises. Good luck.

Difficult to know now where these guys are at. But if the earn outs agreements were not based on accurate MI, the good news is they maybe negotiatbable down.

The bad news is bargining the earn outs down and the bad feeling that this would cause + the bad feeling that SMC HO must feel towards these purchased subsidiaries for not being totally open with them at time of acquisition does not = this being a very easy group of companies to manage over the coming years, construction industry booming or not.

Hopefully HO knows a bit more now about pricing New Business and WIP. Based on recent embarrassing climb downs and an expensive Big 5 review one would hope so!!

Some of you guys have to stop and analyse why you are projecting:

'According to Sigmund Freud, projection is a psychological defense mechanism whereby one "projects" one's own undesirable thoughts, motivations, desires, and feelings onto someone else.

Bottom line is you called it wrong and lost cash.

Feel sorry for holders having been in the same position a couple of times myself. Nearly bought when they first came to the market but couldn't get any electronically so didn't pursue it. Later on decided against buying for two reasons -
1) The subjective nature of measuring profit when you have a lot of WIP (I'm an auditor and far more of the businesses I've been involved with that have gone bust have been in the building industry, than any other type of business).
2) When you get a business doing a lot of take-overs and the share price goes into reverse, the earn out agreements can really screw up the company. That's what did for MOB. Clever shorters must have made a fortune on MOB by seeing that the more they could bring down the sp, the more problems the company would have in fulfilling earn out clauses.

After the second profit warning the results RNS was nothing like as bad as (then)feared...we touched 100p on the bounce I believe...

My only bull point would be that maybe the market is misinterpreting the Chairman's comments again...maybe a minority view but perhaps not mad!

I'm certainly not arguing for 100p (!) but maybe, just maybe 65-70p would be a better response to today's RNS...

If you are a contra-trader, then this must be worth considering as a buy. Consider :-

1. Profit warnings come in 3's. This is the third
2. 'Buy when there is blood in the street'. There is plenty of PI blood around today.
3. Buy when everyone is pessimistic. Yep, that is true now too.

I remember a similar scenario at Ashtead at 4p when even survival looked remote.
Anyone who had the balls to buy then can afford to retire now.

Interesting !!!!!

Does this now mean that all those who sold their companies to SMC with
loads of good will can buy them back from SMC without the goodwill ?

What a terrible CON.

Werent there some Director sells at around 140p ?

Kalmar - forget the paper loss as it is a completely meaningless cosideration in the context of investing to make money. The sole criteria to assist in making your judgement should should be - 'do I think I would make more money if the actual amount I have remaining were invested elsewhere'. Whilst you may or may not be right in your decision it is merely that consideration that should determine what to do with your 'hard-earned'. Good luck with whatever you do.

Worth thinking about what happens with the earn outs guys - I did mention it here before.

Several acquisitions that SMC have to pay additional fees for if these co's hit targets.

Some might not hit the targets after all of this but some might do still. It also depends on whether these co's have disguised theier earnings or McColl was just stupid and never asked the right questions.

If there are big earn outs they have to be paid in cash or shares. If it's cash it could be quite a bit of dough they need to raise. If it's shares then there could be big dilution.

Looking a mess imo - widows and orphans should have left long ago I hope.
