Rebasing options is probably the bell sounding that the bottom of the share price has been reached. So there is that. OD

The original policy was very much an outlier even in those remarkably enthusiastic prior market conditions.
Sadly the new policy only brings them into line with a great many other listed companies, which have no or low hurdle incentives. But I'd rather the company have their graduated incentive working now than at for example £5+ based on a naively overestimated Serviceable Obtainable Market.

No incentive for directors to deliver if they keep rebasing option prices with no hurdles .It needs to stop All those zooms telling us how cheap we were vs our peers ..we all buy and they don't cos they know they get options near to mkt price . Not on

Disagree with you Shares have fallen from 175p to 38p and they reward themselves huge option package at 44p justifying it by good past performance .Frank has always made excuses for not buying shares even though he was Uber bullish about prospects .This is a reward for failure He always said his options were are much higher prices and that was fair .Within 2 days he is up 10pct on his new options ..DISGRACE

... on the other hand, the share price is predicated and supported on continued revenue growth and refining the business model into a profitable formula. If either goes into reverse or stalls, the share price will drop again, and vice versa of course. I don't think the BOD can rake it in just by putting their feet up. I do think the options needed repricing but would have preferred 50 or 60p. CEO basic salary flat since 2020.

No but are options put in place that are immediately in the money ?It's pure greed Last package were at prices double and triple the mkt price The BOD have created huge negative value for share holders (most ) yet they award themselves options that are a "reward for failure "They don't have to deliver anything and they will still make money This is what gives the City and Aim a bad name

Funny thing is now directors have bought stock they can now sell their options after 1 day since Rns Don't even have to turn up to work ..talk about the need for incentivisation!Shares have collapsed from 150p to 40p and whoosh they seats themselves with millions of free shares ..Shame on the BOD

These purchases have been obliged upon them, rather than representing a real belief in the prospects of the company. It is the price they pay for the remuneration package.ie smoke and mirrors.

Why does a company with less than £13m market cap have a person in charge of Investor relations ?
Most companies of this size have a CEO who welcomes shareholder contact...

Would be good to see the options repricedThe first lot a few years ago were to disadvantageous to directors and now this lot has no premium attached and no financial hurdles BUT Very good to see 85k invested by them so mitigates down of the annoyance of the option pricing.

Yes I've been pushing for this for a while Made me cautious here for a while even though still held stock.Feels like a huge inflexion point now with the timing of these options and more importantly these Director buys .Cash in bank with no need to raise Low margin subsids sold offArr continues to grow I think we can treble our money from here I'm now bullish

Now the management has delivered such [pedestrian] revenue growth ~15% they want to reprice the options to ie a gift from shareholders for the lack of growth.
This seems wrong and ant capitalist, in that it is rewarding failure. A significant part of the revenue growth is merely increasing prices for current customers.

Where is the innovation to make this a more attractive product for customers, where are durable partnerships ?

If there is a vote, I will vote against this or failing that against all the resolutions.

I agree on option rebases. But we have to be realistic. With the reduction in SAAS multiples and the slower growth rate here the take out price has reduced significantly and so the 90p options are close to dead in the water. If the 44p options act as an incentive then I am ok. Would be nice to see a couple of director buys alongside them mind. I thought the TU was positive with scope to beat this year if momentum continues
