""Qualifying Shareholders may apply for Open Offer Shares under the Open Offer at the Issue Price on the following basis: 1 Open Offer Share for every 41 Existing Ordinary Shares"". In any open offer you are guaranteed the minimum so for 100k shares you are guaranteed 2439, not a lot! If you consider the Company is sound however, this is only the guaranteed amount, you can apply for as few or as many as you like. There will always be shareholders who will not take up the offer for whatever reason; they have no cash for example or they do not want to invest any more in one Company. This gives the believers a chance to top up at a discount. If every holder takes up the offer you still get the minimum but if not you will get more scaled back according to how many others think the same. You can in theory apply for 1m shares if you want to! | jansky61 | |

Another company I am invested in recently announced a fundraise at a small discount and smaller level of dilution. The result is an share price still above the fund raise price. 14/10/2020 07:56 | OK. Hopefully SA buying some and OPTI not selling for that timeframe will stop the share price getting hammered. It is not a question of not liking fund raises as a PI - goes with the territory for a pre-revenue outfit - but the discount and amount of dilution is important. I don't see how saying those who bought in at the beginning are still quids in - it's about encouraging new investors as much as placating existing ones. He has delivered on every program to date in fact they are ahead of plan despite everything virus related that is slowing others down. I think the placement is at a reasonable discount and they have opened it up to all and who knows what access to cash will look like in 6 months time the way the world is going. 14/10/2020 07:43 | Amateur hour! Yes it’s a raise. Bonita not to keep the lights on, it clearly states they are advancing oral and hair science. Yes SA always stated he didn’t NEED cash that’s different to keeping the lights on cash. Him and cath are obviously some way down the line on this strain. Remember when Opti has to sell sbtx early this year to show to a major I think it was h and b that they could cash flow enough stock? I see this as similar. We also have posters on Opti saying only way a new II will buy is via a placing as they can’t get the amount they want. Every one has their own opinion but raising funds which by all accounts he could have raised a lot more for the right reasons is not a negative for me. I hold a good chunk here but see this as positive and done for the right reasons. The Opti lock in too is good and shows 2 things 1) they themselves must be throwing off their own cash and 2) they see sbtx being a lot higher in 12 months. I’m going to stay off for a bit as someuwin has a shorting agenda and a few others can’t see the wood for the trees contradicting their own gripes about Opti and soh. I've seen other companies that have raised funds at lower and lower prices compared to their initial IPO price. This company has already been a good investment for those that have been here since day 1, and I see no reason that will not remain the case going forward. | zedder | |

14/10/2020 07:22 | PIs typically are never happy to see a placing but I am, if the company is going to scale it needs to raise money, it would take forever to generate the profits to self fund. Also, you need to make it possible for institutions to get at least a part unit if you are going to build an institutional shareholder base. With any luck we will get some who go on to buy more in the market and support the share price from here. Given the discount is a measly 11% I’d say that is a small price to pay for the potential upside. | blah blah | |
