Apparently the reference date is the month end of the date of incorporation.

no, it's 31st Dec - they changed a number of times since incorporation, last change (I can find) being

19 Aug 2010 - Current accounting period extended from 31 July 2010 to 31 December 2010

meeting in each period of 6 months beginning with the day following its
accounting reference date (in addition to any other meetings held during that
period).



There are no rules for extra time, just fines for going over.

An AGM must be held no more than 6 months after the end of the financial year (March 31st).However, there must be no more than 15 months between AGMs. (So you couldn't have one in April 2015 and then August 2016, as the gap is more than 15 months).That's how I interpret it.

(3) INTERVAL BETWEEN TWO AGMs
The provisions of Sub-Section (1) of Section 96 of the Companies Act, 2013 clearly states that the period between two Annual General Meetings shall not be more than (15) fifteen months.

Looks like both deadlines apply so the question is whether one always supersedes the other or if it's simply dictated by which is the soonest of the two. One also assumes that a 3 month extension can be requested.

Sol - 15 months max period between AGM applies to all Listed companies thereafter.

Havoc Services Pty Ltd appears to be linked specifically to Mark Sofield. His LinkedIn shows him there in Jan 13, while the other partners were still employed at Ophir and elsewhere. Then all 5 partners commence with Havoc Partners in Jan 14. So it looks like HSPL was Mark's own company. Whether this still exists as a separate entity under his sole name and control, or has been disbanded and replaced by Havoc Partners is hard to tell, but they are two separate distinct entities (Ltd & LLP). Perhaps the money for technical work outlined in the AR has been specifically provided by Mark himself and is being kept separate to other wider stuff Havoc Partners are doing? Who knows....?

Isn't the 15 month time line in relation to a new company and they are allowed to hold their AGM within 15 months of formation
