Confirmation of total warrants exercised
The Directors of Sirius Minerals Plc (AIM: SXX, OTCQX: SRUXY) ("Sirius" or "the Company") hereby provide a final update in respect of the warrants previously issued to investors on 14 March 2014, in connection with the placing by the Company on 6 March 2014 ("Warrants") and as indicated in the announcement of 2 November 2015.
Following the completion of all Warrant exercises, lodged prior to the Warrant lapsing date, a final total of 129,377,517 Warrants have been exercised pursuant to which the Company has issued 129,377,517 ordinary shares under the block listing application announced on 28 May 2015 ("Warrant Shares").
These Warrant Shares rank pari passu with the Company's existing ordinary shares and represent approximately 72% of the 179,351,029 Warrants originally issued. The issue of the Warrant Shares at 18p per share has raised approximately GBP23.3m, which will be used for general working capital purposes.
The remaining 49,973,512 Warrants have now expired in accordance with the terms of the warrant instrument meaning no further Warrant Shares will be issued with respect to these expired Warrants.
The Company's enlarged issued share capital now comprises 2,294,744,698 ordinary shares with voting rights. This figure of 2,294,744,698 ordinary shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
