......Look at the following shareholdings, taken from the 8.3 notifications. If there are others who have large shareholdings, they should be releasing an 8.3 notification in accordance with the Takeover code.

Christopher Neil Miller 1.07%
Richard Boulton 1.58%
Thrice Capital Management Ltd 3.95%
John Kinning 1.54%
Andreas Lehman 1.48%

Kurt Kerschat 2.53%
Dr Ernst Wustinger 0.65%
Dr Hans Peter Sauerzopf 0.3%

Many of us, including yourself as I recall, hold through nominees so will not be on a distribution list. You may feel it worthwhile raising the matter with BS?

Not much the Company could do about it per se, but perhaps he might be able to get hold of a copy via acquaintances on the register and at least deal with any points at the EGM. I am clear that the Board would wish to have a clear process and would take pains to achieve this.

I have just found out from 'my business associates' that an informal letter has been sent to the shareholders painting a 'dark' picture over 'the alternatives' and to vote 'FOR' the resolution. If anyone has received such a letter, would they be willing to share this with the BB, word for word, so we can see what lengths someone is prepared to go to to make sure the resolution is passed?

Apparently it has been sent using letters with stamps on, rather than franked, which seems to imply it is more a personally issued letter, rather than a company, and it is not signed by he/she who wrote it. Mmmmmmmmm.

I also have voted AGAINST the proposal. In my view I cannot trust the BOD to make any sound investment whilst SCO is a cash shell and I'd hate to sit on the sidelines and see the cash reserve bleed month-by-month as these bunch of incompetent morons bid for one lame business after another, only to pay hefty legal fees in he process and get nowehere in return.

We're already invested in a business and a product that has some inherent value. Where's the sense in throwing that away only to invest in another product/company that may or may not make it!?

I say let's give Dr Wurstinger a chance, let him clear out the deadwood and get some fresh faces in who may actually have a clue as to how to run a business.

Unfortunately I cannot make the EGM next week. Good luck to one and all...

E.

Actually, I have just spoken with The Takeover Panel...

You may, then again you may not, be aware that the Takeover code NO LONGER APPLIES to the offer by IE!

This is because the offer is for the assets rather than the UK PLC! So when Scotty Group referred to the possibility of us not having protection of the Takeover code should the company move to Vienna, they didn't announce that, with respect to this offer, we don't have it anyway! LOL Another slippery misguiding piece of information.

The Takeover panel no longer watch activity on this company as of the announcement on the 4th March.

Don't let ScottyTsquared let you believe the deal is already done!

He cannot possibly know this. Look at the following shareholdings, taken from the 8.3 notifications. If there are others who have large shareholdings, they should be releasing an 8.3 notification in accordance with the Takeover code.

Christopher Neil Miller 1.07%
Richard Boulton 1.58%
Thrice Capital Management Ltd 3.95%
John Kinning 1.54%
Andreas Lehman 1.48%
Graham Andrews 1.29%
Kurt Kerschat 2.53%
Dr Ernst Wustinger 0.65%
Dr Hans Peter Sauerzopf 0.3%
Bryan Smart 0.13%
Hugh Edmonds 0.08%

So you can see that there IS NOT a large enough vote already available to push this through. I will be calling the Takeover panel to see if they can 'weed out' any new significant investors!

The BOD have undersold everything they have sold. They cannot be trusted to sell to IE for a 'fair price'. They do not have the capability to manage transition to a cash shell. Vote 'NO'. Please make the effort. Don't let apathy allow the sale to go through.

As the saying goes 'bad men win when good men do nothing'.

Doc 69 - independently minded at worst surely!

We could all, equally arguably, be counted as being brainless idiots for ever investing here, or wasting so much time posting here, for not cutting our losses sooner, or not voting plan B once upon a time.

All dirty water under a wobbly bridge.

I made subsequent and greater investments in Scotty than I did in MM. I now know I was probably wrong to do so, but only in hindsight. It could and might have been an equally shrewd investment. That's investing for you.

I imagine my losses might be about a third of yours, on balance of wealth equally painful - but it was always my choice to remain, I can't blame the BOD (at least not beyond obvious mistakes and some mismanagement of placement activity). To over simplify the situation.

I'm voting 'Against', because despite the potential 'cash' option it's far from cut & dried - and imo notably worthless in comparison with just one significant contract being awarded to Scotty.

The economic backdrop has very significantly improved, such that I believe we're on the brink of very positive growth - and ultimately full steam ahead markets within 18 months 3 years. GREEN SHOOTS of recovery abound, though there's still a frost in the air - don't you miss these lyrical entertaining analogies :)

IE and Ernst know exactly what can and will be achieved with Scotty over the next period - and I am willing to give up my residual stake and huge losses to give them every opportunity to perhaps finally reward my long-term (lifetime) patience.

Out for me, probably means cutting and running for the majority of investors here, even those voting 'For', toward, a 'Cash Shell' option, whatever that ultimately means. Any returned cash could just as well be invested in ice-cream mid-summer. Reversing into this 'cash shell' should probably come with a hazard warning, with so many disgruntled investors.

I believe Directors and investors voting for such a final exit strategy are more likely to rue their decision, dragging us into an even longer, painfully drawn out affair, ultimately achieving very little of what is presently envisioned, as folks continue to cash-out.

I know exactly what I invested in and hoped for, and anticipate Scotty can and will transform itself with Ernst or IE. And therefore choose to be a part of this next, or final, chapter supporting KK & Co., voting with like-minded investors who wish to go down with the Scotty enterprise or finally see clear water.

Good luck folks - make your vote count as you choose! GG

Let us not forget how much 'infulence' this BB had when MMD merged with SCO.

The 12p, soon became 4p

Do you really think SCOTTY would take it to the vote if they were not 100% sure of the result ??

Don't over estimate your holding ..... you are all small fry in the bigger picture.

Well, a large percentage MAY well have already decided to vote FOR. I cannot stop that.

However, we ONLY have your word for it and who the hell are you anyway? Just 'a fly' in the ointment, as they say.

I am not going to be dissuaded by what may, or may not, have happened.

Ever heard of a 'pension fund'? Not only does he act like a fly. He has the brain of a fly too! LOL
