You are splitting hairs. The point is that he - and any existing investors who took small bits of the placing - could have got most of those shares in an RI Excess application instead of forcing unnecessary dilution on minority shareholders.

We know it was unnecessary because the RI RNS told us that Scotgold didn't need any more cash until the second and final part of the mine development fundraising.

Not for the first time, Scotgold misled minority shareholders into a false sense of security and effectively created a false market for the RI shares.

The regulators have been told.

"And" if you do it will stop you making so many mistakes unless of course that is your intention!

From the RNS that you clearly failed to read properly:
"1,800,000 new fully paid ordinary shares to sophisticated existing investors in the Company to raise £450,000 (the "Placing")."

So Mr Styslinger took the placing shares. That is preferable to NLR or wee Graham but he previously owned a few so could have got all the placing shares in his Excess application and saved minority shareholders from unnecessary dilution.

So Richard Harris now owns 875,000 shares or 3.3% of the equity.

He previously owned 680,000 or 4.27%.

You would think these insiders would want to keep up. But here's one taking partial dilution on the chin.

You're still not getting it, son.

It's not fine and dandy for those with deep pockets to conspire to issue new shares without any known purpose (apart from increasing their ownership) at the expense of those who can't afford to keep pace with them (or were not invited to participate.

The RI allegedly raised all the cash needed for phase 1 of the mine development. There was therefore no need for this extra placing other than to take yet more of the company away from small, "unsophisticated" shareholders.

And the reason you don't get it is that you are one of the gang which is perpetrating the smash-and-grab.

It's about time you stopped pretending to be one of the PIs on the forums - before your mates twig what you are doing to them.

Existing sophisticated shareholders have just added another £450,000. Makes the company very safe from those unsavoury characters that would drag the company down to pick it up on the cheap, wouldn't you agree chum !

SURPRISE PLACING/MORE DILUTION RNS

Surprise, surprise, Scotgold hit minority shareholders with another out-of-the-blue placing with an *additional* 1.8m shares double whammy dilution of existing shareholders on top of the RI dilution.

And who saw it coming? Certainly, the masters of disguise didn't want you to know about it. Their 13 November RI RNS stated: "a *second and final* tranche of development funding to be raised after the planning decision has been received".

But today we get a second tranche of development funding which is certainly not final. So we've been conned. Again.

Anyone who couldn't (or elected not to) participate in the RI should ponder how small their share of the company's equity has now become. And brace themselves for further and bigger dilution over the next few months.

Ownership of this project is being taken away from you.
