Heard nothing since the appointment of administrators last Feb. Thir website suggests that the company is still a going concern. Does anyone know whether this will be resurrected - having already kisssed my small investment goodbye!

Johnny Vee - The suspension RNS appears to explain it reasonably well:

..............However, the Company's auditors are not able to issue an audit report on the basis that the Company is a going concern given the Director's lack of confidence in the Company's ability to meet its sales forecasts and in the absence of confirmation that Smart Approach is able to raise further additional funds in the short term. The Company is therefore unable to issue audited accounts pursuant to its obligations under the AIM Rules and is required to seek the suspension of its shares.

As a result of these circumstances the Board has concluded it is in the best
interests of shareholders to seek to identify a strategic investor in the Group
who can provide the financial certainty that is required to take the business
forward.

I have to admit that this one struck me as a bit odd, in that directors reckoned they could continue as a going concern but auditors wouldn't sign off.
I can't quite figure why auditors didn't just qualify the accounts......

Still, I suppose there is still some hope in the absence of an administration RNS, so far.

("Smart Approach" or "the Company")

Proposed Placing

Smart Approach today announces that it is proposing to raise approximately #0.75
million (#0.68 million net of cash expenses) by way of a placing of new ordinary
shares in the Company ("Placing") to provide additional working capital for the
Company and its subsidiaries ("the Group").

It is proposed that the placing will comprise the issue of 75,000,000 new
ordinary shares of 1p ("New Ordinary Shares") at a price of 1p per New Ordinary
Share ("Issue Price").

The New Ordinary Shares have been conditionally placed by J. M. Finn & Co. with
certain of the Directors and institutional and other investors. The Directors
have conditionally agreed to subscribe for, in aggregate, 13,887,500 New
Ordinary Shares pursuant to the Placing Agreement, representing an aggregate
investment by the Directors of #138,875, at the Issue Price.

Under the AIM Rules, the participation of the Directors and the Company's
significant shareholders in the Placing is deemed to be a related party
transaction. The independent Directors, Mr Mike Ormesher and Mr Martin Canty,
having consulted with Strand Partners Limited, are of the opinion (taking into
account the current financial position of the Company) that the terms of the
Placing are fair and reasonable insofar as the shareholders of the Company are
concerned. Strand Partners has taken into account the independent Directors'
commercial assessment of the Placing.

Application will be made to the London Stock Exchange for the admission of the
New Ordinary Shares to trading on AIM. It is expected that dealings in the New
Ordinary Shares will commence on AIM at 8.00 a.m. on 27 July 2005.

The proposed Placing will require the passing of certain resolutions by the
Company's shareholders at an extraordinary general meeting of the Company, which
is being convened for 10.00 a.m. on 26 July 2005 at the offices of Strand
Partners, 26 Mount Row, London W1K 3SQ for the purposes of proposing and if
thought fit passing the following resolutions:

(a) to increase the authorised share capital of the Company;
(b) to authorise the allotment of the New Ordinary Shares;
(c) and to disapply the pre-emption rights which will be necessary to
issue, inter alia, the New Ordinary Shares pursuant to the Placing;

If the Resolutions are not passed at the EGM and the Placing does not proceed,
the Group will have to seek alternative methods of financing. Shareholders
should note that if the Placing does not proceed and the Company is unable to
procure alternative sources of funding, the Company would not be able to
continue to trade.

A circular will be posted to Shareholders shortly. Copies of the circular and
form of proxy will be available to the public, free of charge, at the offices of
Walker Morris, Kings Court, 12 King Street, Leeds LS1 2HL during normal business
hours for a period of one month.
