Rolls-Royce Holdings plc (the 'Company') announces, that further to the announcement made on 20 February 2015 that the second GBP250m tranche of the share buyback programme has been initiated, it has purchased from Morgan Stanley the following number of its ordinary shares of 20 pence each ('Shares'):
