Brian first spoke to Perk in January.... who let the market know in December.

If RhythmOne can get some decent numbers under it's belt and prove the platform
is growing then those broker targets will look like yesterdays news.

If lock in expires April then whether Perk shareholders stay or sell is likely to depend on the fy TU..If 1R don't produce decent fy figures or outlook then we could see lots of Perk shareholders selling out...It could also depend on whether they are in profit... they might simply take the profit..

A new broker target of 65p....Most interesting, and that's even before our q3 update!!Now that's a near 85% increase in the share price We could be well above a pound very soon indeed when the interest starts to flood back into this company.It certainly has the brokers interest?

The pre nuptial agreement isn’t very watertight either, just a 90 day lockup, so that looks like expiring in mid April. See page 19 of the circular.

We will see how faithful Perk really are, if results are less than stellar.

Will Perk shareholders stick around or will they get their quickie divorce, sell up and head for the hills as fast as their two legs can carry them?

Whatever happens we will be left with 490 million shares out

1gw, I believe that if there was a tentative bid or any kind of an approach, this would have had to have been disclosed to the market at the time

edit: yes it is my interpretation that they were pursuing another acquisition, they have already told us that their motto is Always Be Considering" and that they are always looking at opportunities

"After further discussions and preliminary due diligence following the execution of the non-binding letter of intent, RhythmOne decided not to pursue a transaction as it was focused on pursuing other initiatives.

At the direction of the Perk Board, Perk informed RhythmOne that it was terminating any further discussions or negotiations.

On or about September 28, 2016, Mr. Mukherjee reached out to Mr. Hastings to express interest in restarting discussions with respect to the proposed transaction between Perk and RhythmOne. Parameters of a transaction were revisited. Mr. Hastings updated the Perk Board regarding the latest proposed terms of the transaction."

the breakup was after 4-5 months of meetings, visits, conference calls etc

Gowlane - are you trying to provide a bit of balance to Loaf's suggestion that R1 called off the earlier Perk discussions because of "tentative bid interest" in R1? Although Loaf made it clear this was just his interpretation, Kendo seemed to pick up on the idea and made subsequent posts suggesting that there really had been an approach to R1.

Funny, but I don't remember the "bulls" objecting to either Loaf's original post or Kendo's subsequent posts.

I think the phrase in the actual document was something about R1 "pursuing other initiatives", unless you're thinking of another section?

Personally I think those other initiatives were just as likely to have been the international launches, but I guess everyone's entitled to their own interpretations. I do agree though that it is generally better if people acknowledge where they are making interpretations as opposed to stating facts.

that Canadian exchange is great, you get to learn everything, why is everywhere so much better regulated than Aim these days

The only 'fact' is whats written in that 200 page offer doc and Gowlane points are not in there.

However, he is welcome to his view as anyone is.

Looks like that Perk deal is going ahead, they certainly had an interesting courtship

1R called it all off abruptly after doing their preliminary due diligence and Perk were told “sorry, we have met someone else”.

Then the other thing fell through, and SBM is back on the phone again, offering a higher price to smooth some ruffled feelings

Now SBM is walking down the aisle and tying the knot with Perk later this month possibly against his own better judgement.
