Exciting times ahead aboard the Red Rock bucking bronco. May be heralded a hero stock with right arm raised and left holding on for dear life: Whilst AB sips a cup of earl grey and investors strike the wall with fists clenched.

15) In September 2020 Red Rock paid vendor Mr Lubomir Konkil and his associated parties €10,000 for a due diligence period ending 21 September 2020 over the assets. The firm has also paid €23,000 for a 50% stake in the Zlata Bana licence, which covers around 12km2..
May establish a joint venture with Konkil and issue €250,000 of new Red Rock shares to the vendor alongside a further €100,000 of shares upon completion of the asset transfer. Plus €100,000 for joint venture expenses.

Due diligence period has passed.

Back to the 0.8p placing price is not unexpected. Little more is likely to happen in the short term except ongoing expenditure. So the shares look set to drift. However, anything could happen here, your call!
So much to chew over!

Canadian TSX Quotation fees:
Original Listing Fees for TSX range between C$10,000 and C$200,000, and is determined by the market value of the company at the point of listing. A non-refundable deposit of $10,000 must be submitted at the time of the application.

Calculator:

Sponsorship: Fees for an initial public offering, reverse takeover or qualifying transaction can range from $15,000 to $50,000, although costs may be higher depending on the level of due diligence required. For example, more due diligence would be required for a company with foreign business assets.

Legal fees for a Canadian company listing on the Exchange generally range from C$400,000 to C$750,000. As well, foreign companies and certain types of businesses (e.g. business trusts) may incur higher legal fees.

The investment dealer who will be selling your company's securities into the marketplace will charge a negotiable sales commission ranging from 6%-10% of the value of the securities sold plus a warrant. This sales commission will be paid out of the offering proceeds.

Audit costs vary depending on the complexity of your company, the state of its accounting records, and its financial position. The cost of auditing an operating company for the first time may range between $12,000 and $80,000, although may be higher if a company has foreign operations. There may also be costs for additional services, such as comfort letters.

Has to be congratulations to the directors of RRR this year. The company has its fingers in many pies and some not made and all not oven ready. Also they have yet to buy the ovens and the tricky part connecting the gas supplies and fingers crossed lighting with all the matches.

The placing price was well struck, over four times the price traded at in the Spring. This is a placing to celebrate, against all expectations 2020 has been an exemplar of share price performance.

I expect half the cash raised will be used on RR Australasia's float on the TSX. Not a cheap exercise as most very small explorers go for Canada's Junior market first.
There are so many Junior explorers principally chasing gold and silver it's difficult to work out how many. Even more difficult to see what RRR and POW's little explorer's value will be - needs a high enthusiastic gold and market place - may well get it as Joe Bidon looks the next US President - just what the gold market place wants, so many hope.

A new name suggestion 'Gigantic Thunderbolt Gold Incorporated'.

Expect massive amounts of ramping to try and get the share price back up to 0.9p imho
so that the warrants can be exercised.

Only idiots would follow the rampers

Nothing ever changes here

£1m will go nowhere given how much cash is needed for projects and the fact that
Admin runs at £47,000 per month.

This is surely just the first of a number of dilution placings imho

SP only going down imo

Remember too that that £830,000 worth of CLNs (plus 12% interest) have yet to
convert at 0.6p. When they do that's another bunch of shares that will be
issued.

No upside here.

Lots of dilution,
CLNs to convert at 0.6p
Warrants to dilute you at 0.9p

And a bunch of large investors who last year said they were thinking of taking the
company private.

A catch22 there. Holders of warrants, including company directors, held off on converting them as a cash raising was almost certain - it happened. Now they may not convert because it has happened. AB did not convert his options and warrants like the other directors!?
Had the options and warrants been converted the cash raising could have been avoided. On the otherhand it could have come about anyway.
Yep! A catch22 x conundrum.

As warned in the header for quite awhile now:

Red Rock Resources Plc announces that it has raised GBP1,000,000 by way of a placing of 125,000,000 new ordinary shares of 0.01 pence each in the Company at a price of 0.8p per Share with 1 for 1 warrants exercisable at a price of 1.2 pence per Share for thirty months.

Usually, more often than not, the share price may drift back to test the 0.8p level.
