Here you go ASEYHO 1.12 AdvantagesThe Directors are of the view that the following non-exhaustive list of advantages may be relevant to a Shareholder's decision on how to vote in relation to Resolution 1:(a) it will allow the Company to preserve cash to be spent on its existing assets rather than interest payments to LandOcean.1.13 DisadvantagesThe Directors are of the view that the following non-exhaustive list of disadvantages may be relevant to a Shareholder's decision on how to vote in relation to Resolution 1:(a) Shareholders will have their voting power reduced. Consequently, the ability of existing Shareholders to influence decisions, including the composition of the Board or the acquisition or disposal of assets will be reduced accordingly;(b) LandOcean and its Associates will hold up to 20.9% of Range following the issue of Shares under the Subscription Agreement increasing to up to 32.6% on conversion of all Convertible Notes (subject to the assumptions set out in Schedule 2). Therefore, LandOcean and its Associates will be able to have a significant influence over ordinary resolutions. In addition, LandOcean may have the ability to nominate up to two persons to be nominated as non-executive directors of the Company; and(c) the number of Shares to be issued to LandOcean is subject to exchange rate fluctuations and not known and therefore the level of potential dilution to Shareholders can only be approximated.

ASEYHO - in the document it states LO having 32% is a disadvantage It's clear this is a lose-lose for shareholders

Well the share issue size was as predicted yesterday, 4b shares being about 33% dilution.

At least rrl had the manners to tell people in the quarterly and give them some time to bed and breakfast if they wanted.

LO taking their voting percentage up to 30+ % probably has to be disconcerting, this may be a play to take the assets or similar, they have considerable power when this goes through. And all for 1.6m

Can you not get it into your thick skull that no one is buying, no one is selling, and no one except you is posting? However much you congratulate yourself and however much you wind up shareholders, it no longer works. No one cares what you do, what you say or what you think.

The obnoxious, chauvinistic, arrogant attitude often taken on my short men--seems to be an attempt to make up for their short stature.

I wonder if anyone sees similar traits above in any posters on ADVFN.....

Lewis ya thanks for that when I get a bit of time later I will have a good read but yes u agree it was what was expected but am I reading it right that would be 12.5 bil with the conversion 20,000,000 Convertible notes at £0.0088p I think that's right which is a big mark up from were we are at the moment.

Ken. Just tried to read it. What was expected. Meeting on 5 March and looks like 12.5bn shares will be in circulation if shareholders vote it through. Usually someone on WS gives a good appraisal of what it means to Range and us individual shareholders, but probably all gone to bed and we will have to wait for morning.

Ron Resources and his 54 cronies will be whetting his bed in excitement tonight. Bless :-) He hasn't got any shares so what effect will an extra 4bn shares have on him?????
