Joint Development Agreement with Alder Energy LLC



Quadrise (AIM:QED), the technology company focused on the decarbonisation of shipping and heavy industry through deployment of low emission fuels and biofuels, announces the Company has signed a Joint Development Agreement ("JDA") with renewable fuel technology experts Alder Energy LLC.



Alder Energy LLC, known as Alder Renewables ("Alder") is a USA-based biomass technology provider with industry leading partners and investors. Alder's proprietary pyrolysis oil upgrading technology is designed to produce stable Alder Renewable Crude and associated products such as Alder Pyrolysis Sugars ("APS").



Under the JDA, the Quadrise and Alder teams intend to collaborate in respect of the use of Alder's APS product as a potential cost-effective renewable feedstock for bioMSAR™ and bioMSAR Zero™, with success of initial lab testing of Alder's APS product at the Quadrise Research Facility expected to lead to small-scale diesel engine tests at Aquafuel later this year to confirm initial viability ("Initial Testing"). Subject to the success of the Initial Testing and subject to the contractual agreement of both parties and engine availability, third-party testing in marine diesel engines would then be completed within 12 months of completion of the Initial Testing.





Commenting on this agreement Jason Miles, CTO of QED, said:



"We are delighted to enter into this JDA with Alder Renewables. Fuels derived from biomass present potentially the most cost-effective net-zero biofuel solutions, with pyrolysis technology also being recognised by multiple organisations including the Mærsk Mc-Kinney Møller Center for Zero Carbon Shipping, as one of the most feasible production methods for marine biofuels. This collaboration aims to broaden our range of feedstocks for bioMSAR™ and bioMSAR™ Zero, to provide abundant lower cost and lower emission alternatives to conventional biofuels."

"This agreement also builds on the entry of JDAs with other parties with a view to enabling the Company to increase its presence and further develop the business in the highly significant North American market. We look forward to providing further updates on developments pursuant to this agreement in due course."



Commenting on this agreement Derek Vardon, Chief Technology Officer of Alder, said:



"Alder is excited to work with Quadrise to seek to develop sustainable marine fuels using the Alder Renewables Process technology platform. Our pyrolysis sugar product APS will help the global shipping industry meet clean energy goals and decarbonise. This JDA is a key step in scaling sustainable technology solutions, integrating our technologies to support low-carbon marine fuel and diesel engine adoption."

Business Update





Quadrise plc (AIM: QED), the technology company focused on the decarbonisation of shipping and heavy industry through deployment of low emission fuels and biofuels, is pleased to provide an update covering progress on its key projects.

Marine

The expected bilateral agreements between MSC and Cargill, and Cargill and Quadrise, to initiate the commercial-scale marine trials are now in near final form and are expected to be concluded soon. Following signature, the trial equipment will be installed and commissioned at the MAC2 site in Antwerp, ahead of the commercial-scale marine trials commencing in Q3 2025.

Quadrise continues to make strong progress in building strategic partnerships with additional potential customers, aimed at accelerating the commercialisation of bioMSAR™ and MSAR®. The Company intends to utilise its facilities at MAC2 to service these opportunities, as well as establishing similar supply points in other major marine bunker hubs.

Morocco

The planned commercial trial with OCP to establish MSAR® supply in the Mediterranean continues to progress. Following relocation to an alternative production line and associated kiln by OCP, the Company has deployed all necessary trial equipment to site. To commence the 30-day paid trial, Quadrise is awaiting approval from the original equipment manufacturer of the kiln and burner system ("OEM"), which is expected to be received in Q3 2025, with the trial commencing immediately thereafter.

In parallel, Quadrise and the OEM are exploring potential collaboration opportunities with other industrial clients.

Americas

In Panama, excellent progress continues to be made for our trial with Sparkle Power SA. Trial equipment and chemicals have been shipped to site, with the trial now expected to start during Q3 2025. This will be the first test for Quadrise on a MAN 4-stroke diesel engine, expanding our application experience with this significant engine manufacturer. A successful trial would be expected by the Company to lead to a Fuel Supply Agreement with a supplier and to facilitate discussions with other regional power producers.

US Low Carbon Fuels

Quadrise is now awaiting delivery of a new batch of oil samples from Valkor's Primary Project Site ('PPS') at Asphalt Ridge, Utah, USA as the previous samples tested were deemed unrepresentative of Valkor's expected final oil output. Once testing of these samples has been positively concluded, marketing of MSAR® and bioMSARTM fuels in the USA can then commence.

Quadrise now expects to deliver a smaller 600bpd Multifuel Manufacturing Unit ("MMU") to the PPS in Q3 2025, with the US$75k per quarter technology transfer fee payable by Valkor to Quadrise commencing from the date of delivery.

bioMSAR™ and bioMSAR™ Zero development

Quadrise continues to advance several joint development and commercial discussions and testing with potential partners and customers to deliver cleaner fuels at a lower cost than alternatives.

Yep good to hear everything still building with all projects. At least we may still get confirmation of the final marine agreements in Q2 even thought the trial will begin Q3.

TERN the Fundamentals are looking extremely positive right now for a return to 10-20p this year and much much higher with an exit. Now just 1.6p to buy

They have major IoT security company Device Authority, Fundamental Surgery, Talking Medicine and holding in to the Sure Ventures fund. All AI and technology.

ALSO

For those that levels technicals, you will notice the TERN 200 day moving average share price has just come under 2p for the first time for many years.

Now I'm not saying when it crosses the 200DMA the share price will EXPLODE, but use that information as you wish.

And there we have it.
We knew they would need to raise as I said earlier they would run out of money by February.
We are not being asked for money and if this is approved then I think it is a good sign that institutions want to back us.
It wasn't long ago this was 3p.
I see no reason why the share price ought to go down to that level on this occasion unless other factors come into play.

I thought some of what Crownos said on a different site was good
hope he doesn't mind me posting it here.

'Yes 3p for the placing was a big discount, but as others have said, the price is largely out of Quadrise's hands, because in order to fulfil the ABB then the investors they are targeting will be largely the ones to dictate the price they are willing to pay, and no doubt Quadrise were advised that in order for this raise to go through at an accelerated rate, then they would need to initiate a larger discount. It's the price you pay for quick money from big investors. It's a shame, but it's most certainly not a surprise by any means.

As others have said, be happy that the placing it's pretty much over now and we will no doubt have the funds announced tomorrow to take us through to commercialisation and revenues. Hopefully this will be the last ever raise.'

'I think the dilution effect on the current shareholding is 0.14p. That’s taking interactive investor market cap of £112.84m and closing price of 5.82p. So effectively , if nothing else changes then I would expect an opening price of 5.68p. By not being able to access the subscription that (0.14p per share ) is what we have “lost” as existing shareholders.'

I will wait and see.




The world generally is suffering upheaval and with Trump pulling out of some things who knows what will happen when.
However MSC has a lot of weight in the industry and if big investors want to get in at all then it's a big positive for me and ought to help.

After the umpteenth time of Quadrise deliberately spiking the share price in order to get a placing away Z1CO and hazl both thought that buying at 4.5p would be a good idea and encouraged people to do exactly that (ie criticised JakNife).

I give it two months at most before the next placing, this board have a track record of spiking the share price in advance of every fund raise. It suckers in retail punters who see the illusion of momentum and buy on the back of that. The last two times the company ended up placing at 1.25p. Does anyone know a more bent company on AIM?

The marine update literally said nothing has happened. Not great for 7 months work at the time. I have never really been down on QED but to have something take a year longer than it should...or 3 years in you take the initial timeliness.....something must be happening in the background either good or bad. Let's just hope it is something good. If we get an RNS simply saying we have signed an agreement with MSC and Cargill and we are now just waiting for MSC and Cargill to sign their agreement then we could have another year wait!!!

Rewhbe, on the one hand, you have Fyoz's answer, on another, it rather depends on how you define an update.

As I see it facts are facts. Much of what comprises a QED update is often fact that in itself does not move the needle in terms of revenue, timing, profit etc, but potentially exciting news, useful as a foundation for conjecture: We are delighted to announce formal discussions with X about the potential for using our product in a given environment (say; leisure marine) and some cute open ended statements hinting at our place in a huge and lucrative market place. The Morocco story being a more mature version of the same, fortunately backed up by one small, and eventually successful trial and the Saudi debacle being an example of how it may end.

In sewing these 'seeds' if you will, all the chat that follows on BB's like this germinate and blossom into a sense of genuine opportunity, and all the excitement that brings to investors like me, eager for positive news, revenue and profit.

Statements such as "they're getting on with running our company, for our benefit, and I for one am glad they're concentrating on the task, and not wasting time producing a running commentary for the sake of the doomsters" being an excellent example of blind faith based upon no more knowledge of what is actually being achieved than you or I have.

I don't actually doubt the commitment or effort of the QED team, I do perhaps question their effectiveness, and perhaps choice of which opportunity is most achievable to grow from our very fragile foundations and limited resources.

Beneficial communication for me would be, for example, test results, a start date for a trial in Morocco, receipt of samples from Utah, delivery of an MMU to location Y, an update on what happened in Panama after the rain fell, etc.

Finally, in relation to the quote above, if Jason has time to post about the environmental benefits of our products on LinkedIn (and I am delighted that he does so), he surely has time to engender shareholder loyalty, support and 'team spirit' with small factual updates, particularly as he may need to open our wallets again in the future.

....to finish my waffle; I am far from a doomster, for about fourteen years I have had my money where my mouth is, so to speak, because i believe in our amazing product, and I don't doubt the technical capability of the QED team; I just crave honest, factual and insightful communication. Industry, the environment and indeed we as shareholders will all benefit from our success, but all my beliefs are not basis for blind faith...maybe I'm a 'doubting Thomas'!
