Further to the RNS announcements of 24 December 2021 and 31 January 2022 in relation to the Company's (AIM: PRIM) investment into Alteration Earth PLC ("ALTE"), Primorus provides a brief update as set out below.



Primorus has signed a deed of amendment which extends the time for ALTE to complete its prospectus and obtain its listing on the Standard Segment of the Main Market of the London Stock Exchange.



The date has been extended to 4 April 2022.



Primorus has been informed that there are a few minor points of clarification remaining and the board of ALTE are optimistic that the process is nearing its conclusion. Following this, and assuming no material issues are raised, ALTE is expecting to obtain its listing without any further amendments to the timeframe.

Yes you're probably right there - my broker usually stings me at least 30 quid when I do one. Nice to see some movement 4p anyway, the BMN decision is a bit of a win win for PRIM

dplewis - I can see why you would think those two sales near yesterday's close to be a put-through; however 3 things confirm separate sales:

# A put-through always marked c15secs apart - never 1.5mins
# A put-through is done at prices to provide the MM a small turn; but never in my experience just £5!
# The share price after the sales was immediately marked down from 3.8p-4.0p to 3.7p-3.9p

All irrelevant; but price action today suggests the MMs were just happy to suck in a little stock.

Good news on the BMN front will certainly justify trading with big figure 4 rather than 3.

Interesting - as the last two trades at 3.855p & 3.86p look to be sales, as they followed purchases at around the 4p level.

I suggest if you were a potential buyer - take a look first thing tomorrow morning...

Conclusion

Garnet, I can well understand, may see itself as having been badly let down by VRFB in the 2021 Funding Round. This is with some justification, as VRFB was far from transparent concerning its plans. However, I am not persuaded that VRFB was in breach of the JVA, much less that it was in material breach. The upshot is that the present proceedings do not help Garnet to extract VRFB from or to diminish its position as its co-venturer in EHL. Neither, for that matter, can VRFB gain anything from its claim in these proceedings. Uncomfortable as it may be for the two sides to continue together, these present proceedings are not the way forward.

With current market cap at c£5m if prim get the bmn cln I've got total current assets at c £11 million.......note liquid assets include £0.5 mill cash rambler and hydrogen and bmn clns over the next 18 months . So prim have approaching its current market cap in these liquid assets alone !!!!!...it's too much of a disconnect to share price to continue if the valuations hold or indeed increase ....

I think £7-£8 mill would be a more realistic mkt cap given the assets 5-5.7p share price . Would still be a steep discount to. Net asset value.

So notice was given on 28/2 for bmn to either settle in cash $1.5 mill plus interest or a cln with 10 % interest . The initial cln converts at 20 day vwap to 28th which is less than 10 p share price which looks promising as share price closed 12.7p and vanadium price has literally just moved up significantly due to evraz/russia supply issues which is 17% of the world market. So an immediate paper gain of c 30% . Clns can be converted and sold over 18 months in 1/6 th tranches . If all the clns could be converted on day 1 it's c 12.8 million bmn shares currently worth £1.65 million . Whilst bmn is now profitable it only had cash at ye of c $15 mill and it has capex of $17 mill and c $7 mill of debt to pay this year so I'm expecting the cln route rather than cash .

Probably not prim gave notice to bmn for cash or cln for it's vfrb-h shares but then again didn't they give notice last time before the last extension....? Who knows !! Might have a bearing if prim get clns then again wouldnt be surprised if there was a final twist...
