10/3/2004 21:13 | S/S Don't panic I had the reverse from my broker. 'Please advise us (in writing) should you wish to accept the offer, no later than 18th March 2004.' IMHO There is no chance they'll get 90%, and 50% by 18th is extremely doubtful. Martha's timing and ONT shareholder's lack of enthusiasm for holding LMC stock at the proposed price=embarassment for LMC. LMC have to find some way of making this deal more palatable for ONT shareholders. Don't expect another bid from anyone else but expect an improved offer or a higher lmc share price. 10/3/2004 21:08 | I deal through ample and there default (i.e. I do not respond) is that they will not reply to the offer. This is in effect a no vote which I am very happy with. This offer is really not good enough. I do not want LMC shares and the value of the offer gets worse every day. Ample aslo say that if I had accepted the offer I would not be able to sell my shares in ONT until the bid failed or I had LMC shares. | i_need_help | |
10/3/2004 19:05 | I had a letter from comdirect about my 'pooled holding' which they hold in my nominee a/c. Interestingly and perhaps worryingly, they work on the assumption that the recommended offer is to be accepted unless they are notified otherwise. I would have thought the default should be they will decline unless otherwise notified, but there you go. I wonder if any other stockbrokers who hold shares in nominee a/cs are working on the same basis? If your shares are held in a nominee a/c I suggest you check with the broker if you don't intend accepting. ONT directors will have relied in Altium's advice (big conflict of interest cos they make big fees on bids) in recommending the LMC all paper bid. They must now be wondering what they have done. Very embarrassing for LMC that Martha has chosen now to offload all those shares. Eveyone knows that LMC is vastly overvalued but their institutional holders continue to support the price as to stop doign so would be like turkeys voting for Xmas. However they cannot defer reality forever and the combination of LMC's main spin machine stepping down and cashing in her shares will probably start the unstoppable slide. | old boy returns | |
09/3/2004 22:23 | So far no news of a counter offer but time has been short. If by the closing date LMC have not got 51% ( which seems likely) they have the option of: 1. Extending the offer by 30 days. or 2. Dropping out or 3 Increasing their offer What will people think about the value of LMC paper if they are unable to seduce ONT shareholders? A drop in LMC share price of 10%??? Will they improve the offer rather than lose £500,000 odd penalty for dropping out and suffer share drop for failing? Will they want to wait for 30 days and see further loss of confidence of their shares and still not hit the 51% beacuse their share value has meant that ONT shareholders will get so much less than 31p value in their shares?
