Right Here Goes:-

Assumptions - 1) Opti own approx 75% of Optibiotheropeutics(OPTC)
2) Balancing 25% is owned by two directors and Manchester College

If Opti disposes of 49% of its holding it still retains a controlling interest in OPTC

I would expect that a proportion of that 49% will be issue to existing shareholders in Opti either free or at a heavily discounted price.

The remaining portion of the 49% will be sold to the market at an agreed price thus increasing Opti's Bank balance and Opti's Shareholder funds.

It is also possible that OPTC may then do an IPO to raise capital.

In Summary the disposal of Optibiotixs investment in Optibiotheropeutics increases the bank balance of Optibiotix but also decreases the value of its investments in its subsidiary(Optibiotheropeutics). any capital gain on the transaction will be held on Optibiotixs Balance Sheet and presumably be available for future dividend distribution.

I for one am totally surprised that the demerger has been announced, and will proceed before the vita foods show, where it will become a bit clearer what sort of initial revenue Opti will be gaining from Chol/heart products.
The only reason I can think of is that the Skin division is able to stand alone and already has some commercial news to announce.
But on the face of it, delighted with the news and that its all coming together so fast.
Optibiotix give the impression of confidence going forward..... hope that us long term holders can in some way be rewarded for our patience in this demerger.

Firstly can I advise anybody with half a brain to filter "michaelamouse".

BTW You can now write a further £400,000 cash off the balance sheet this year with this IPO alone. Having bizarrely lent themselves £400,000 through a convertible loan note, they are now going to convert this loan into shares in the spin-off SkinBiotix.

Financial engineering at its very best. Bizarre.

Capitalisation value will be very interesting. I recall SoH saying a year ago skin could be worth £250m in a years time. Not that I expect it to float at anywhere near that level but excited to see where it is valued at.

I agree 10-15£m. The key thing is not to overvalue the stock at listing as it will go nowhere.

I'm pretty sure soh said if the correct steps were taken over time the ip could be worth £250m. No way that's done in a year. Can see skin being worth £40-50m within a year based on potential and successful human studies.

I don't expect OPTI shareholders to get given any Skin biotherapeutics shares when it is listed unless there is an open offer which is available to them. All that will happen is that OPTI will hold whatever %age it holds now less a bit of dilution of a company that is listed rather than unlisted. If Skin biotherapeutics shares rise in value then this should impact OPTI's shares.

By not giving us free shares immediately it prevents those who would sell skin freebies straight away. This would clearly damage skins initial ipo. There will probably be a date from which you will have to hold opti shares to own the proportional holding in skin.

owenmo - post 20938 on the other thread is ludicrous. I started this thread on March 16 2016. The share price at the time was about 75p. It's fluctuated up and down ever since. I've written negatively when the price was higher and lower.

Long term I believe that this is a story stock that has all the hallmarks of those that have gone before e.g Nano, Iofina, Moni etc. In two years time let's see where the company is.

Your next post is correct. A deluge of sells going into the bell at 4:30.

Mickeymouse, you really are stupid. Let's assume for a second Johnson & Johnson were keen on collaborating with Opti on some skin products, it'd make sense for them to work/invest/collaborate with Skinbiotix as they would predominantly focus on Skincare, Cosmetics etc.

For the benefit of possible new visitors to this board, attracted maybe by to-day's developments, and then to find the good news in evidence counteracted by a (persistent) naysayer, it may do no harm - even if it won't stave off the rant - to hark back to the beginning of the year. A would-be investor in Opti say in January, who found himself/herself dissuaded by the self-same Jonah who at the time lowered his anticipated share price inevitable decline to 50p, will have forfeited a 35% gain in missed opportunity - had they taken the plunge and sold-on to-day. There is no reason the treat his message today with any less disdain; nor is there any reason to think that a similar gain, and then some, isn't in the offing on the back of the basket of good news coming our way. I have suggested before, and by and largely it's what happens, that his ramblings are ignored rather than responded to. As I started out, however, the above thoughts are for newer visitors. Yes DYOR above all else; but ignore cranks lest you, too, might forfeit a 35% gain there for the taking as events have unfolded and very much against the flow our bogey-man's ill-considered vendetta. A few investors are clearly wising up to the fact that the "so-called" de-merger is just a fund raising under any other name. Fairly muted reaction to the news.

"You can fool all the people some of the time, and some of the people all the time, but you cannot fool all the people all the time."

Here's a common sense question for the die-hards to mull over. Since OptiBiotix and all it's divisions are "so wonderful" and set to bring in multi-millions then what's the point in "de-risking" the company by spinning each division out?

According to the supporters there isn't any risk. If that's the case then all the divisions would be better held inside the parent company making it into a multi-billion pound enterprise?

Of course the answer is quite simple. Since none of the divisions make anything like meaningful revenues and are years away from making profits, they have to spin divisions out so that they can keep tapping the market for funds without it looking like it's all the same company. Which it is of course.

It's a brave attempt at disguising fund raisings, but "You can fool........etc"

The company told all and sundry that they were going to form a new company months ago, so why should New share holders get in on the new shares? After all Optiebiotix shares could have gone down, we took the risk so we should reap the rewards.
