We'll have to wait and see but in my view it would be dilutive because the value of the OPTI stake in Skinbio would be diluted by free Skinbio shares being issued. Paid for IPO shares in Skinbio would not be dilutive as cash is received for same.

Exactly Parob, we will be given shares in the demerged company and probably at a one to one allocation. However, that will not prevent buying more in the IPO. Just my take on it.

It's non dilutive because no OPTI shares are being placed as part of the fundraising.

I'll post again. See post 13489. From SOH email to Someuwin back in July last year:"The RNS reflects aindustry strategy often used to realise the growing value of divisions in acompany which is not realised in the whole. Typically when companies spinoff divisions shareholders receive stock in the new company proportional totheir holding in the parent company which gives shareholders a position inboth companies. In the event of a listing that would be OptiBiotix’sintent, whereupon we would update shareholders by a separate RNS."

jj OPTI trades at say around 80p today with skin part of it so in theory when skin demergers OPTI is worth less than 80p as skin is no longer there(Yes i know OPTI still own so much of skin),that is why existing shareholders should get a % of free shares of what they own in OPTI.

If it is a 1-1 I would imagine it being a discount to the IPO. There are many ways this could go, so all speculation now is just for fun value only. I would be surprised if there were NO FREE shares for existing OPTI holders. Another way would be a discounted offering with additional options as per OPTI IPO.

I don't think existing shareholders will get free shares or how could this be described as non-dilutive? I think, just as in an open offer, we will have a chance to participate in the IPO based on current OPTI holding.

As Opti own circa 75% of shares, surely the max we could get is 75% of our holdings. All speculation at this stage.

jj existing shareholders may well be offered some to pay for in a open offer but should also receive free ones on a % of what they own in OPTI i wouldn't have thought any were near a 1 to 1 basis though.

You have to assume that Opti's current £60m valuation includes SkinBioTherapeutics. As soon as it de-merges then this value goes with it and Opti is less valuable.

If SkinBioTherapeutics is worth currently worth £10m let's say, then post de-merger Opti is worth £10m less i.e. £50m.

Since all divisions are loss making and barely revenue generating though, it's a bit of a guess at how much skin is valued at within the Opti wrapper.

By not giving us free shares immediately it prevents those who would sell skin freebies straight away. This would clearly damage skins initial ipo. There will probably be a date from which you will have to hold opti shares to own the proportional holding in skin.

We deserve it. I suppose the unanswered question is did investors need to hold shares in Opti before today's announcement, or can investors still buy in now and benefit from new shares/warrants.

I don't expect OPTI shareholders to get given any Skin biotherapeutics shares when it is listed unless there is an open offer which is available to them. All that will happen is that OPTI will hold whatever %age it holds now less a bit of dilution of a company that is listed rather than unlisted. If Skin biotherapeutics shares rise in value then this should impact OPTI's shares.
