Two placings, one at 45p (current sp) and one by the company their purchasing @ 75p, big premium

LONDON (Dow Jones)--Opsec Security Group PLC (OSG.LN), a supplier of anti-counterfeiting technologies and services, said Friday it is buying Delta Labelling Ltd. and Delta Labelling (HK) Ltd. for GBP12.5 million and is raising GBP9.8 million via a placing and share subscription.
MAIN FACTS:
-Placing 17.34 million shares at 45 pence to raise GBP7.8 million; subscription by Delta's current shareholders for 2.67 million new Ordinary shares at 75 pence per share to raise GBP2.0 million.
-Of the consideration GBP9.5 million is payable in cash at completion with deferred cash consideration of GBP3.0 million payable subject to the achievement of certain performance targets and milestones in four installments.
-Delta is a supplier of leather, printed, woven, PVC and metal labels to the fashion industry and operates from facilities in Tamworth (England) and Hong Kong.
-Delta's aggregated unaudited operating profit for the year ended Dec. 31, 2011 was GBP2.2 million; aggregated unaudited net assets of Delta as at Dec. 31, 2011 were GBP1.8 million.
-Shares at 0905 GMT up 1 pence, or 1.1%, at 46 pence valuing the company at GBP27.3 million.

Thanks.....yes, I agree but in the context of what might happen surely if we end up being a minority we would not want the tainted Board issuing any shares to anyone except with existing shareholder pre-emption rights attached? otherwise we could get stuffed/diluted by them issuing shares and options to whoever they liked (and at whatever price) without recourse to us. Am I becoming paranoid?

Yes, I also spoke with her a few days ago and confirm all that you say. I am confident she has at least 25% 'spoken for' to prevent the company being delisted. As, you say, this is a potentially dangerous position to take against ORCA however, from a moral and ethical persepctive somebody has to take a stand and I, for one, am delighted that she is doing this and give her/Herald my full support. Yes, the Company (and ORCA) need to speak with Herald and broker a deal that recognises the upside value in the business is refelected in the price and NOT deflected to existing management and ORCA.

Hi Harrogate....ummm.....I know what you mean! Well, it's results day today and I'm sure things will become clearer to us by the end of it. In the menatime I will not be agreeing to anything in the meantime! I'm also very disappointed that they did not come back with an increased offer after the first attempt, if only nominally. Maybe I'm being cynical but I wonder if the accounts are being rushed out today (i have not yet seen them) simply so that the bidders can go back into the market to top up as they try to get the bid unconditional? In my view Herald's reluctance to agree the bid terms must be indicative of poor value being offered by the bidder (but curiously recommended by the "independent" (??) non-exec directors.....who have a vested interest in the bid succeeding!) and what some might see as OSG/Investcorp's blatant and aggressive attempt to extinguish long-suffering shareholders in favour of the existing board and Investcorp! I'm surprised, as you say, there has not been/is not at least SOME other interest sniffing around OSG at this cheap level. Curiously and notably the company has been silent on this and I would be much more comfortable if it clarified there has been (and is) no other interest whatsoever. However, I fear, as you intimate in the end we will simply get steam-rollered......stuff the little shareholders! onwards and downwards!

RIP Applied Holographics! After many many years of promise alternating with failure the end of the suffering has come. In the context of recent history the 50p offer (done deal) will come as a welcome relief. However, it is the very least that the Company is worth based on current trading and certainly is not generous. It looks to me that Investec have carefully worked their way into this position and have throttled the company into submission through predatory (immoral?) financing when the company ran out of cash at the very worst time. Only recently the company announced that its loan repayments had been deferred (the loan is with the buyers!) pending further announcements and it seems likely that Investec has implemented an option to acquire the company (and exercise the massively preferrential shares) and I suspect this has been going on for the last 2 months.... I'm really not happy with the way the company has sold its soul to Investec... Of course, if you ignore the massive/obsence Investec financing costs (investec!!) the offer is paltry. I wonder what Katie Potts of Herald makes of it all???

The fact the management, and indeed everything/everyone continues as before suggests this is all a big stitch up.

Harrogate...thanks for all your valuable wisdom and comment over the many years. I will miss that and the peaks (some) and troughs (lots) that has been APH and OSG.

On the long view they are picking this up cheaply at less than one times sales but given the share price in the last however many years 50p will do for me. I was in a lot of pain at 9.5p to sell a couple of years ago or so so to get out at a decent profit is a relief.It is much better off as a US PE investment than a listed Uk company

It will have to be at more than 28p that is for sure.

The PE guys paid 35p a share for their prefs and I can't see that being enough. We have always said they would be bought out and I think if the numbers are due to be good for 2011 i would have thought 45p to 50p ... Let's say I would accept that !!!

Has anyone got the time or inclination to work out what price the offer needs to be for the directors / major shareholders to think that it is worth their while accepting??

Don't sure we can expect much more than that ...I would be amazed if we don't head back towards 30p ..but if I knew about this share I wouldn't have a shed load bought at a higher price !!!

It is difficult to put a positive spin on this since they could have said good positive discussions are taking place with funders and we hope to announce the details of the refinancing soon... given they didn't you have to assume that they aren't having any positive discussions. Having said that in terms of negotiations with the funders the extra time they have will help with them not being under the cosh. You would have thought if there was good trading update they would have included it with this announcement... also they appointed a new broker, Shore capital, a while ago and I would have expected a broker note. You would think they didn't want the share price to go up. Maybe they don't!!
