The stock’s technicals are showing excellent signs of a recovery – all the main averages are moving back to where they should, with the stock price and 20-day average moving above the 50 day and 200 day averages for the first time in more than a year. This indicates we should soon enter a bull trend. And yes, the share buy-back programme will help to provide some protection against the shorties – those parasites that have been artificially and maliciously keeping the stock in the doldrums on the basis of false reports. NMC is a perfect example of why short selling is unethical and should be prohibited – and one day it probably will.

The company continues to rack up earnings growth in the 25%+ per annum range, the dividend growth has been consistent. The buyback of shares will actually lead to a steady stream of increasing dividends.

Perhaps.The share buy back programme puts the company in a state of readiness to counter the sort of bear attacks that have afflicted the share price over the last year.I don’t expect NMC to undertake a steady share buy back like those seen in the US in recent years.I see it as more of an ‘emergencyR17; share buy back provision.

Thanks to you both for helping me to get the approx 3pct buy back resolution into context with the short interest of approx 5.5pct. In practice I imagine the board might prefer to spend cash on reducing debt rather than buying back shares.

Indeed.The free equity float is small.Just as commentators liked to point out that the short position was around a quarter of free equity,the share buy back programme is now a good counter balance.

Bottom line is steeple, with over 50% shares in the hands of the three billionaires, there are not that many floating shares to go around increasing the significance of this share buyback

Explanation for the proposed Share Buy-Back Programme

The Company has a number of very attractive investment opportunities for the short and medium term which it remains committed to delivering. The Company also maintains a strong balance sheet to provide suitable optionality of funding and therefore the current intention of the Board is that the Share Buy-Back Programme will be employed opportunistically and will be limited to a maximum of US$200 million.
The Board is seeking authority to make market purchases of up to a maximum of £2,089,038.60 of the Company’s issued ordinary share capital, representing 10 per cent. of the Company’s current issued share capital as at 15 November 2019, which is the latest practicable date before the publication of this Circular (the Latest Practicable Date), and which if utilised in full would reduce the issued share capital of the Company from £20,890,386.10 to £18,801,347.50 in one or multiple market purchases (the Share Buy-Back Authority). The Share Buy-Back Authority is a standard resolution, sought by the majority of UK public listed companies from time to time and routinely at each annual general meeting. The Board intends to renew this authority at the next annual general meeting.
The minimum price (exclusive of expenses) which may be paid for a share is 10 pence per share. The maximum price to be paid on any exercise of the authority would not exceed the highest of (i) 105 per cent. of the average of the middle market quotations for the Company’s shares for the five business days immediately preceding the date of the purchase; and (ii) the higher of the price of the last independent trade and the highest current independent bid on the trading venues where the purchase is carried out. Any shares purchased under the Share Buy-Back Authority will be cancelled.
The total number of options and conditional share awards to subscribe for ordinary shares outstanding as at the Latest Practicable Date was 1,139,865, representing approximately 0.55 per cent. of the issued ordinary share capital of the Company, and constituting approximately 0.54 per cent. of the Company’s issued ordinary share capital following any exercise in full of the Share Buy-Back Authority.
This authority will last until the earlier of 30 June 2020 and the conclusion of the Company’s annual general meeting in 2020.....

I have started looking at NMC only recently. The AGM today authorised a buy back of stock and I understand that to be for a maximum of USD 200 million. According to my sums that that is roughly 3pct of the company at the current price. Have I got all that right?

The AQR short has fallen by just shy of 1% since its peak back in August of 3.61%.

Shorters intentions will be focused by NMCs stock buy back programme.Moodys downgrade supports the shorters cause but does anyone take these rating agencies that seriously since their utter capitulation in the face of the subprime crisis.

AQR reduced short by 0.1% on 2nd Dec - partially mitigated by Gladsone going up 0.03% - but it may be significant that the main shorter is reducing.

NMC Health plc - Results of voting at General Meeting


London, 5 December 2019: NMC Health plc (LSE: NMC), the leading Gulf Cooperation Council (GCC) and international private healthcare operator, announces the results of voting at its General Meeting held earlier today, 5 December 2019, on the resolutions as set out in the notice of General Meeting.

A poll was held on each resolution proposed at the Meeting and the Company is pleased to announce that all resolutions were duly passed. Resolution 1 was proposed as a special resolution and resolution 2 proposed as an ordinary resolution.

The result of the poll on each resolution was as follows:

Just noted that three key moving averages have just intersected – 200, 50 and 20 day averages. From here on it should either climb or drop steadily instead of being range-bound as it has been over the last few weeks, trading between 23 and 26. Let’s not forget also that the big drop happened in the last 3 months of 2018 when all stocks went down; NMC simply hasn’t recovered as quickly as the rest of the pack despite its good results due to heavy short interest that has finally been shaken off for the most part. Hold steady, it is just a matter of time before it is back in the 30s.
