NWT also scores very highly on this checklist from the legendary tech stocks guru Conor McCarthy.

Indeed, of the 9 criteria that are relevant for buying (no. 4 is relevant to selling), NWT meets all nine:-

"Conor McCarthy is the Dublin-based founder and editor of Techinvest , a monthly newsletter for investors interested in technology stocks. Each issue of TechInvest provides news and information on technology companies quoted on the London market, and gives buy/hold/sell ratings.

Technology stocks - attractions and dangers

1. Look out for fallen favourites.

Fallen favourites are stocks which have declined a long way over a period of time following earnings disappointments. They tend to fall to levels that take leave of the underlying fundamentals and fail to take account of recovery prospects. However, it is important to check that the balance-sheet is not over- stretched . If there is net cash, so much the better.

Patience is essential - it is almost impossible to time the turning-point for recovery situations. It is also important not to buy in the early stages of the price fall. Wait for the first signs of stability to appear in both the business and share price.

2. Calculate annual R & D expenditure per share and compare it to the share price.

If the PRR (price-research ratio - share price divided by R and D per share) is 5 or less it is nearly always worth buying the shares. This applies particularly to recovery situations. As long as an exploration company has the wherewithal to drill holes, there is always the possibility it will strike it lucky. The same goes for an out-of-favour technology company. As long as it can continue to invest in R and D there is the chance it will come up with a blockbuster product. The lower the PRR the more development bang you get for your buck.

3. Use Relative Strength to detect significant changes in a stock's performance relative to the market.

In particular, I like to use 10 and 20 week moving averages of Relative Strength. Relative Strength is particularly useful when buying into recovery stocks or when considering sales of long-term winners. The larger the market capitalisation of the stock the more useful Relative Strength is. For small cap stocks, price movements are too erratic and random for Relative Strength signals to be reliably useful.

4. Never plan to hold a stock forever.

Be prepared to take part-profits if the price gets too far ahead of the underlying fundamentals. Sell if newsflow disappoints in a big way.

Use stop-losses, but only in certain situations. They are most helpful when protecting profits after a huge rise in the share price. Use of a stop-loss in early-stage recovery situations is rarely a good idea. Simplistic stop-loss rules, such as sell on a 20% price drop, should be avoided. Instead, chart patterns, trading volumes and moving averages should all be used to help identify suitable stop-loss points.

5. Recurring revenue streams, the larger the better, are very attractive.

They provide predictability of sales and profits going forward and reduce the likelihood of nasty earnings surprises . Companies that change to a business model which steadily increases the recurring proportion of revenue are likely to undergo a market rerating.

6. Watch for management changes.

Top-level management changes at a company that has gone stale nearly always lead to a revitalised performance, although not necessarily immediately. The new management team normally experiences a honeymoon period with the stockmarket which nearly always sees the share price outperform even before the new team delivers improved results.

7. If investing in early-stage companies, go for those with a realistic chance of playing a significant role in a fast-developing emerging market.

Ideally, the management team should have at least one previous small company success under its belt in delivering enhanced shareholder value.

8. Look for medium-stage companies with a dominant share of a high growth market.

For medium-stage tech companies, that is those that are already profitable but far from mature, look for companies with a dominant share of a high growth market and with a product or service that provides significant cost benefits to customers.

9. Avoid companies with a sales-dominant corporate culture.

All too often, accounting irregularities and questionable practices creep in sooner or later, ultimately leading to restated results, a loss in investor confidence and an overnight collapse in the share price.

10. Look for companies with a PEG (current year prospective P/E divided by the growth rate for the following year) of less than 1.

This enables comparisons to be made between stocks with varying multiples and growth rates. If two stocks have more or less equal PEGs, go for the one which looks most likely to achieve market expectations.

Interesting to see this new UK small cap. investing company (ONWD) float last week, to take advantage of currently depressed valuations in good opportunities.

And the checklist of characteristics they are looking for seems to fit NWT to a T:-

30/03/2023 07:00 UK Regulatory (RNS & others) Onward Opportunities Limited Admission to AIM and First Day of Dealings LSE:ONWD Onward Opportunities Limited

"First Day of Dealings on AIM

Newly launched investment company with UK smaller company focus

... In connection with Admission, the Company has conditionally raised Gross Proceeds of c.GBP12.8 million of initial capital pursuant to the Placing at a price of 100 pence per Placing Share. Net Proceeds are intended to be invested in accordance with the Company's investing policy.

... Investing policy

The Company will seek to achieve its investment objective by investing primarily in equity and equity-related securities of UK smaller companies that are predominantly listed or admitted to trading on markets operated by the London Stock Exchange, and where it is considered that there is a material potential valuation upside that can be delivered from catalysing strategic, operational or management initiatives.

In order to ensure that the Company is able to maintain its approach of active engagement with investee companies, and to encourage and support value creation, the Company will typically target meaningful minority stakes in investee companies of between 5 per cent. And 25 per cent. Of the issued share capital.

Whilst the Company has no limitation on the size of the companies in which it can invest, the Company typically expects to invest in companies with market capitalisations of no more than GBP250 million (with a particular focus on those below GBP100 million) at the time of investment. The Company will therefore focus on investments in the "micro" smaller companies sector and on companies admitted to trading on AIM.

Investee companies will typically have certain of the following characteristics:

-- balance sheet asset backing;
-- a competitive advantage and/or strong management track record;
-- attractive cash flow potential;
-- visibility of earnings/future earnings improvement;
-- potential for liquidity and/or exit in line with the Company's targeted hold period;
-- scope for an active shareholder to trigger value creation; and/or
-- foreseeable events and catalysts to unlock intrinsic value.

Investments may be either direct investments made by the Company, or indirect investments made by the Company through similar funds or investment vehicles. The Company may make its investments for cash or for share consideration.

Although investments will not be restricted to specific sectors, the Company does not expect to pursue or make investments into companies in the biotechnology sector or in companies directly involved in extractive industries (such as mining or oil and gas).

Whilst the Company will initially seek to take minority stakes in investee companies of between 5 per cent. And 25 per cent. And will not typically seek to take majority positions in investee companies, it will not be restricted from taking a majority position if considered appropriate by the Portfolio Manager.

The Company's portfolio is expected to be relatively concentrated, with a typical investment being between 2 per cent. And 10 per cent. Of Net Asset Value at the time of investment. This is expected over time to result in a portfolio of approximately 10 to 15 high conviction investments and a further 5 to 10 smaller portfolio holdings, in companies operating in a number of industries and geographic locations.

Whilst the Company will target an investment holding period of three to five years, actual holding periods and exit strategies will depend on the underlying investment, the availability of exit opportunities and the size of the Company's investment. The Company may therefore dispose of investments outside of the target timeframe should an appropriate opportunity arise.

The Company may hold cash in its portfolio from time to time to maintain investment flexibility. There is no limit on the amount of cash which may be held by the Company at any time. ..."

NWT is now in the last month of its financial year ending 30.4.23.

And I would expect the company to issue a year-end trading update in May.

This was issued on 24th. May last year, and triggered a good NWT rise on the day: closing up 6p (20.3%) to 35.5p, from 29.5p, and finishing third on the top risers list.

That trading update was telling of reduced losses for the second half of the year compared to H1, and saying that further improvement in the year ending 30.4.23 was expected.

The next trading update though should be telling of increased profits for the second half of the year compared to H1, and saying that further improvement in the year ending 30.4.24 is expected.

As regards specific numbers for the year ending 30.4.23:-

• NWT's Grosvenor Technology subsidiary looks well on course to exceed £10M. in North American HCM revenues in its current year, ending 30.4.23, with perhaps c. £18M. total GT revenue.

• With NWT's Safetell subsidiary revenues adding a further c. £4.5 - £5M., to give perhaps c. £22.5 - £23M. of NWT Group revenues for the year ending 30.4.23.

• NWT Group is expected to report eps of c. 10p/share or more for its year ending 30.4.23, which at its current share price of 49.5p would equate to a P/E of about 5 or less.

A P/E of about 5 or less would generally be considered very cheap for a value share with mediocre growth prospects.

But for a business with the quite exceptional growth potential of NWT it looks to be a quite extraordinary bargain.

It's probably only a question of time before the investment press pick up on this opportunity, at which point the share price could race up very quickly towards 100p/share, which would still be pretty cheap for a quality growth stock like this.

Biometrics & AI now seem to be 'joined at the hip' ... or perhaps we should say 'joined at the face':-

"EXPLORING FACIAL RECOGNITION USE CASES IN 2023

Alexey Shalimov / 27th February, 2023 / Trends
The article was updated on February 27, 2023.

A few decades ago, the potential of biometric technology was shown in numerous Sci-Fi films. At that time, such AI technologies seemed mind-blowing and unachievable to be implemented in real life. Years passed, and we have witnessed the emergence of biometrics, which is widely applied in various spheres of our daily lives. These technologies are constantly developing and improving, making our existence more effortless and safer.

Thus, we utilize AI biometric technology when unlocking our smartphones, making payments or logging into our accounts with two-factor authentication, securely boarding a flight, etc. It has become commonplace to the point that many don’t even think twice about it. Such a tendency enables experts to forecast the world market for biometric verification and identification potentially reaching $99.63bn by 2027.

As a biometrics tool, facial recognition technology has attained overwhelming popularity across different industries due to its high efficiency in terms of safety and security. Growing demand for facial recognition algorithms accounts for an accuracy rate of 99.97%.

Face recognition can also be integrated with other authentication methods like fingerprint, voice, or iris detection, providing higher security for certain operations. Millions of people favor face recognition as a reliable way to secure their phones. Nevertheless, today’s possibilities of recognition systems are not limited to the safe use of mobile devices but go far beyond that.

In this article, we will explore how facial recognition works, reveal its main benefits, and present practical uses of facial recognition.

Facial recognition explained

Facial recognition is a solution based on AI algorithms for face detection and recognition. The systems measure an individual’s eye shape, forehead length, and nose parameters, matching them with the biometrics previously obtained from individuals. If a face recognition engine finds a match in a database, it confirms a person’s identity. Face matching can be done in real-time or through images and video.

The technology has proven efficient in face analysis aimed at recognizing individual’s characteristics including gender, age, emotions, movements, mood, and face mask detection that helps notice people who are violating the rules of wearing a mask in public places amidst the coronavirus pandemic.

Unlike such authentication means as passwords, emails, and fingerprints, biometric facial identification applies unique dynamic patterns and mathematical equations that ensure the safety and efficiency of a face detection system.

Face identification technologies are currently experiencing large-scale application across different spheres, including retail and e-Commerce, media and entertainment, automobile and transportation, telecom and IT, government, health, and others. ...

1. Access control

Facial recognition can execute a selective ban on entering certain facilities or accessing some equipment. Examine a list of places where such systems can be beneficial.

Commercial and apartment buildings

In this case, facial identification either allows entrance for authorized workers, homeowners, family members, and previously enrolled guests or denies entry for unapproved individuals. Compelling uses include door entry systems, smart locks, and elevators.

Airports

Biometric technology makes travelers’ journey through an airport seamless and enjoyable. Facial recognition algorithms used by automated terminals and entrance control tourniquets prove efficient for immigration control.

For example, Ljubljana Airport successfully tested facial recognition technology for passengers’ identification at the boarding gates, which reduced boarding times at least by 75%.

Resources and machinery

Each industry uses specialized equipment which requires restricted access, operational monitoring, tracing, and regular reporting. Facial identification software helps protect a company’s resources. Thus, healthcare institutions are already applying smart medicine cabinets to identify their authorized personnel.

Another example can be taken from the Toyota Motor Corporation, which has adopted Vehicle Inspection Information System integrated with face recognition to ban uncertified inspectors from checking finished vehicles. ..."

An instructive new article from Grosvenor Technology's website:-

"Insights | Human Capital Management

Selecting A Biometric Technology

We caught up with Chris Wrench, Senior Product Manager, to discuss the different biometric solutions available to the market…

Chris Wrench
Senior Product Manager

As biometrics become more widely available, the choice of different technologies and their use in different markets is more prolific. Fingerprint technology is now widely used in smartphones, facial recognition in airports, and access control used in workplaces nationwide.
At Grosvenor Technology, our Human Capital Management solutions have been designed to create a frictionless environment with a choice of biometric technologies, including fingerprint and facial recognition. Each ensures enhanced security and the elimination of so-called ‘buddy’ punching.

When selecting the preferred biometric for your business, it’s important to consider the type of environment it will be used in. For instance, employees working in industrial or manual handling settings typically have poor-quality fingerprints and, therefore, may be better suited to facial recognition technology. And for those concerned about fraudulent access, biometrics can automatically detect fake fingers or faces to prevent the use of such things as latex fingers or photos to fool the device.

Each system offers different benefits, so our sales team can help you understand which would work best for you and your organisation.

How To Choose Your Biometric Solution

Grosvenor Technology offers a broad array of devices, and it is often difficult to decide which is best for your business without expert guidance; after all, to the untrained eye, one device can seemingly function the same as another.

But our range of clocks provides a wealth of benefits, each suited to different requirements, so the selection process needs care and attention. Some of the critical features that will help to narrow down your choice are:

Operating System – Android or Linux
Screen Size – 2.8”, 4.3”, 8” or 10”
Screen Type – Mono LCD, Colour LCD, Resistive Touch, Capacitive Touch
Performance – Processor, Memory
Security – Encrypted File System, Secure Boot, Hardware Backed Key Storage
Biometric Support – None, Finger, Face
Reader Support – Prox, Magnetic, Barcode, Multi-Tech
I/O Support – None, Input/Output, External Reader, Wiegand
….. and finally,
Price – Entry Level, Mid Range, Top of Range

If you’re ready to discuss options for your organisation, contact the team. We can talk you through each device and how it can benefit your business."

NWT has sometimes previously held its AGM in the second half of September, which could potentially coincide nicely with the Autumn Equinox.

And couldn't Stonehenge Visitors Centre be a splendid place to hold one?!

It would certainly provide an opportunity to show off some of Safetell's best work.

And perhaps experience a very interesting festival as well.

Moreover, publicity from such a 'world first' could potentially help to raise NWT's profile with investors.

Happy Spring Equinox to one and all, and roll on the warmer weather!

And best wishes to all those heading to Stonehenge ... or perhaps we should say 'Secured Henge', in view of Safetell's sterling work at this site:-

"Stonehenge

Protecting Britain’s Heritage

The Stonehenge Visitors Centre in Wiltshire, England, is one of the most popular tourist attractions in the UK. With over one million visitors per year, security is a top priority. The ultra-modern Visitor Centre opened in 2013 and is designed to educate, sell, and provide a fun day out for families, friends, and schools while still representing the ingenuity of the monument itself. However, shortly after opening, it became apparent that the ticket office required a security upgrade in order to cope with the influx of visitors.

Challenge

English Heritage, custodians of the prehistoric Stonehenge monument, wanted to provide greater protection for their staff and customers without hindering customer interaction. This required a full counter and screen replacement and the strengthening of all available access points. It was important to create a solution that protected the entire ticket office module while preserving the award-winning architecture and aesthetic of the building.

Solution

English Heritage approached Safetell, a security solutions provider, to secure their external Ticket Office. Safetell installed an array of security solutions, including Security Glazing with built-in Speech Transfer, Cash Scoops, and a Staffline Door. The security and cash management solutions were made easier through Safetell’s in-house Project Management team, providing a single point of communication and supply. The Security Glazing was designed to provide stronger protection, while Speech Transfer was built in to allow for seamless communication and transference of tickets and cash.

Outcome

Safetell successfully transformed the standard ticket office into a first-rate security enclosure while preserving the bespoke design vernacular of the acclaimed tourist destination. The Cash Scoops and Staffline Door improved in-office security and customer service efficiency, and the built-in Speech Transfer allowed for seamless communication between staff and customers.

The project is one of the many examples demonstrating how Safetell’s flexibility can improve security and maintain the appearance of almost any environment through customized, quality safety solutions."

Sterling vs US Dollar Chart 1.1.07+:-

Another advantage of US investment exposure for Brits (e.g. via NWT) is as a play on further weakening of sterling against the US dollar: and the long term trend for sterling in this 'pair' is strongly downwards.

For NWT, the strengthening US dollar, compared to sterling, means that:-
1. It becomes cheaper for NWT to sell to America.
2. The sterling value of NWT's US revenues is increased per dollar.

It also means that NWT becomes a cheaper takeover target for a US predator.

And the substantial business that NWT conducts in the US also increases the chance of a US takeover, in two ways:-
1. It brings NWT on the radar screens of more American peers.
2. It makes it more attractive to a US predator wishing to expand domestically.

In addition, if NWT subsidiary Grosvenor Technology is spun-out in a US floatation, a strengthened US dollar compared to sterling would increase the sterling value of these US-listed shares.

The USA is the world's largest economy, and accounts of over half of the world's stock market valuation.

And American outperformance compared to Britain, for both economic and investment returns, is enormous:-

1. ECONOMIC OUTPERFORMANCE

"GDP Annual Growth Rate in the United States averaged 3.13 percent from 1948 until 2022"

"GDP Annual Growth Rate in the United Kingdom averaged 2.24 percent from 1956 until 2022"

2. INVESTMENT OUTPERFORMANCE

From Hargreaves Lansdown "Investment Times", Issue 150 - autumn 2021:-

Calculated from the table on pages 4 - 5, Annual Performance Across The Major Sectors [rough non-compounded %s]:-

North America, average c. 16.9% p.a., 2011 - 2021

UK All Companies, average c. 9.8% p.a., 2011 - 2021

And the effect is heightened by year-on-year compounding over the long term:-

• North America's 16.9% p.a. annual growth, compounded for 10 yrs., would compound $100K. into $477K.: a $377K. gain. on $100K.

• Britain's 9.8% p.a. annual growth, compounded for 10 yrs., would compound £100K. into £255K.: a £155K. gain. on £100K.

I.e. a ten year percentage return of well over double.

It's clearly to be expected that economic-business performance should mirror investment performance, because they are two sides of the same coin.

From Hargreaves Lansdown "Investment Times", Issue 154 - money guide 2023 - special edition:-

Page 26. "What Next For The US Stock Market?
... While 2022 saw US benchmark indices fall, with many names in the technology sector suffering dramatic falls, it generally still stands out as an incredibly resilient market to invest in. Whether this resilience is driven by the diversity of the economy, the flexibility of the employment market, or simply the nature of the American people is sometimes difficult to identify. ..."

"Safetell primed for growth in buoyant security market
MARCH 7, 2023"

"Safetell primed for growth in buoyant security market

Safetell has significantly improved its business development team in recent months, adding experience and expertise in equal measure. Here, we meet the team hungry to tap into a physical security market tipped for multi-billion-dollar growth in 2023 and beyond.

Looking back at 2022, it is the year that the world largely got back to normal, with almost all restrictions being eased. Footfall across towns and cities increased to its highest levels since the pandemic, with people getting out to work, socialise, and travel.

This widespread return to society largely unencumbered by lockdown-style rules (there are exceptions, such as areas in China) has seen a significant increase in demand for physical security products and solutions. While definitive figures are still to be confirmed, a December 2022 report from ResearchAndMarkets forecasts revenues from the physical security product market should increase 9.13% in 2022, rising to $42.3 billion, and predicts that between 2023 and 2027, growth will average around 6.5% per annum.

The report noted the “remarkable degree of both resilience and adaptability over the course of the COVID-19 pandemic” in the physical security market. It was a theme we at Safetell saw ourselves in 2022. As a business, we wanted to enter a new year with a well-rounded business development team, ready to take advantage of new opportunities in this buoyant market.

With that in mind, we thought it would be an excellent opportunity to introduce you to the Safetell sales team.

"Investors Target AI Winners and They're Not All Household Names

As AI investment funds sizzle, firms large and small provide the heat

By LYLE NIEDENS Published February 27, 2023

In the investment world, AI is on fire.

Since the introduction of OpenAI's ChatGPT last fall, the technology's transformative potential has enthralled investors, who've sent AI-oriented investment funds soaring this year as they also scrutinize which individual companies might benefit most from the technology.

The iShares Robotics and Artificial Intelligence Multisector ETF (IRBO) has gained 15% year-to-date, with rival Global X Robotics & Artificial Intelligence ETF (BOTZ) surging 13%. 1 2

While obvious suspects such as Amazon, Google, and Apple stand to reap AI's rewards, likely beneficiaries also include smaller, more obscure companies in industries ranging from finance and human resources to travel and transportation. ...

The lists also highlighted numerous smaller companies, all that someday may have the chops to strike AI gold. A few examples: ...

Paycor HCM (PYCR): Payroll and so-called human capital management (HCM) providers reduce service and implementation costs via AI bots that answer and fulfill service requests. AI also can aid recruiting: Paycor recently purchased Talenya, which helps hiring managers efficiently find employment candidates. 4 ... "

So AI is 'on fire' ... and it's not the only one, with NWT's 62.12% rise this year (33p to 53.5p), and superb interim results.

And it's interesting to see Paycor HCM (NASDAQ: PYCR), the largest North American partner of NWT subsidiary Grosvenor Technology, identified as a likely beneficiary of the AI revolution.

Grosvenor Technology's MD recently highlighted AI as the leading trend that is shaping its sector:-

Key security industry trends in 2023

As we have entered a new year, now is a good time to look at some of the trends that are shaping the security industry and consider what these might mean for incumbents.

Colin Leatherbarrow
Managing Director

The security industry today is very different from how it was just a few years ago, and it continues to redefine itself. Moving away from mere security considerations in isolation, factors such as technology, interoperability, artificial intelligence, sustainability, and more are shaping today’s industry.

As we have entered a new year, now is a good time to look at some of the trends that are shaping the security industry and consider what these might mean for incumbents.

1. Artificial intelligence will continue to lead the way

According to recent figures, AI in the security market was valued at US$5.08 billion in 2020 and is expected to reach US$14.18 billion by 2026. Indeed, for several years running, artificial intelligence (AI) has been the predominant trend as companies continue to leverage its advanced capabilities for functions such as facial recognition, video surveillance, audio analytics, and more.

More recently, we have seen a shift towards AI being used as a preventative rather than a reactive measure, meaning that security teams can stop incidents taking place in the first place thanks to things like predictive analytics and machine learning.

2. Cloud-based services will become more essential ...

3. Biometric entrance control will set the standard in physical security ...

4. ‘Zero trust’ moving into the physical world ...

5. More of a focus on privacy protection ...

"Technical Analysis for NWT - Newmark Security Plc"

"Grade Our Relative Strength Rating Last Price
A 53.14"

"NWT closed up 10.31 percent on Tuesday, March 7, 2023, on 2.23 times normal volume. The bulls were able to push the stock to a new 52-week high. Due to the stock's strong uptrend, it may remain overbought for a while. So, if you're looking for a reason to sell, don't put too much weight on it being overbought."

"ADX Long Term Intermediate Term Short Term
Strong Up Up Up"

"ADX This displays ADX, +DI and -DI combined. The Average Directional Index (ADX) measures trend strength without regard to trend direction. The other two indicators, Plus Directional Indicator (+DI) and Minus Directional Indicator (-DI), complement ADX by defining trend direction. Used together, chartists can determine both the direction and strength of the trend. Note that ADX is a slow / lagging indicator.

Long Term The trend direction in relation to the 200-day moving average, which is a timeframe where longer term traders (investors) operate.

Intermediate Term The trend direction in relation to the 50-day moving average, which is a timeframe where intermediate-term traders operate.

Short Term The trend direction in relation to the 10-day moving average, which is a timeframe where short-term traders operate."

Thanks for you input Fft.

I would agree that relative illiquidity (i.e. a relatively large spread & relatively small dealing size) can be challenging, so it depends how badly you want the shares.

If you're really bullish on growth prospects here, for both the business and the s.p., then you should be able to envisage holding for years, and selling for (or being acquired for) multiples of the current s.p.
And by that point, both the market cap. and liquidity should be much higher.

Indeed one of the reasons for NWT's 50 into one consolidation (11.11.21) was to improve liquidity, though this can be a gradual process.

And buying just 1,000 shares in a trade (NWT's exchange market size) may sound like relatively small beer, but it can be a way to build to a more significant stake.
Ten buys of 1,000 shares would give you 10,000: which could eventually be worth £100s of K.

Also note that NWT has been using invoice discounting, which is far less expensive than invoice factoring; NWT hasn't been using invoice factoring.
In invoice factoring, the customer pays the factor company directly. Whereas in invoice discounting, the customer doesn't pay the discounter company, but pays the same company as normal (i.e. NWT in this case).
Invoice discounting is typically used by larger companies than with invoice factoring, and with more creditworthy customers.

As regards placings: NWT isn't a company that does them lightly, and with the board's large shareholding here they have a good vested interest in not being unnecessarily diluted.

NWT's last placing was nearly eight years ago.
And even that was a placing of pre-existing shares, not new shares.
And moreover, at a 'old' price of 2.6p/share (in 2015), which equates to a 'new' price 130p/share consolidation-adjusted:-

17/03/2015 11:25 UK Regulatory (RNS & others) Newmark Security PLC Placing of 65,595,283 Existing Ordinary Shares LSE:NWT Newmark Security Plc
"Newmark Security plc (AIM:NWT), a leading provider of electronic and physical security systems, is pleased to announce that Cantor Fitzgerald Europe has placed 65,595,283 existing ordinary shares of 1p each, representing 14.56% of Newmark's issued share capital, with new and existing institutional investors at 2.6p per share. ...
Commenting on the Placing, Marie-Claire Dwek, CEO, said: "I believe this is a positive development for the Company as it improves both the liquidity of the shares and builds upon our existing institutional shareholder base." ..."

NWT's last placing of new shares was actually nearly nineteen years ago; and moreover, at a 'old' price of 1.25p/share (in 2004), which equates to a 'new' price 62.5p/share consolidation-adjusted; which inflation-adjusted would equate to just over 100p/share now.
And even this was to help fund an acquisition:-

23/06/2004 15:23 UK Regulatory (RNS & others) Placing of New Shares LSE:NWT Newmark Security Plc
"Newmark Security is pleased to announce that it has raised #1.0 million (before
expenses) through a private placing by Seymour Pierce Ellis of 80,000,000
ordinary shares at 1.25p per share. The Company is in advance negotiations to
acquire a business, further details of which are anticipated to be announced
shortly. ... "

It would be a great spread if 48-49 was the 'real' price. But, as you know, it wasn't, unless you were buying less than a 1000 shares (and with commissions etc no one does that). Indeed, at one point yesterday the offer price was for only 10 shares (!). Any more was 3p over the offer. With only 2 MM's and such a small mkt cap it is as good as impossible to create a decent 2 way market. It might, I would suggest, be an idea to have a placing at 45-50p to get liquidity up. It would also help with cash flow and reduce the need for factoring.

A nifty Newmark move up into the fifties today, for the first time since its 50 into one consolidation (11.11.21), and for the first time ever non-consolidation-adjusted.

Which underscores the odds on NWT's likely continued success: i.e. 50 to one on ... at least.

And the bid price is now a fairly festive 52p, which conjures up images of another entity fond of a transformation:-

"In both the books and the television series, Mr Benn's adventures take on a similar pattern. Mr Benn, a man wearing a black suit and bowler hat, leaves his house at 52 Festive Road, London, and visits a fancy-dress costume shop ..."
