Umr, another brewer company goes totally unnoticed. Had an rns today basically looks like a deal being done by 31st December if I'm not mistaken,prospectus due by 31st December and loan notes being converted at 10p,current price 7.5p.dyor

A bit of clarification from JB over on the LSE thread.

As always I hear the discussions on 'dilution'

Assets and resources being acquired from GBP22M - 50/50 cash and shares

Fixed assets - plant and shaft and mine infrastructure alone worth almost GBP100M and thats heavily discounted

Licenses and authorisations - what value can you put on that - it woudl take over 2 years to secure them and at a significant costs

Resources - measure and indicated resources of 27Mlbs of uranium and 1.2 moss of gold - current in situ of +US$5 billion

Gold resources already Developed - 300,000ozs ready to mine following historic development already completed to these stopes

Strategic Infrastructure - unlocks Beisa North and Beisa South and now 117Mlbs of uranium and 5.4Mozs of gold across 25km of strike length

So issuing 995 million shares - GBP10.95M to secure all of this value - is this really dilution - is shareholder value being increased or reduced - you can guess my thoughts on this.

It is Loan Notes not share issue. Treated as loan initially with options to convert.

Yeah they still need the shares these shares need to be created and added to the register and is dilution MMS will take a few weeks to adjust

Those shares are not hitting the market. Sibanye is a strategic NEO partner/shareholder. Through NEO, they now have ownership of Beisa North and South aswell as Beisa Central.

Debt and commodity based funding.

The Company is advancing these funding discussions positively with several parties and will provide further updates on them in due course

As part of Sibanye-Stillwater's due diligence on the Company, they completed a review of our financing plans and were satisfied with what was proposed and our ability to complete the financial settlement once all conditions are satisfied
