Reading between the lines the Cosmen's want it...but are not allowed to make anothjer offer for 6 months... but they won't pay 500p a share.. more like 400p... it's a very intereseting position.. but I tend to agree with thoughts above that they didn't want Stagecoach seeign their real position..... Might sell this morning...

yep..this is really poor. head and shoulders in a choppy market is also giving me a nasty feeling this is on its way to 2.60 over the next few weeks unless something is sorted fast

I see the Cosmen family are calling the board on not acting in the best interests of shareholders by not considering all avenues.

They should call an EGM for shareholders to vote on their confidence (or not) in the BoD. Their actions are critical to the end value realised by shareholders and if they are not executing their responsibilities correctly then perhaps the shareholders would be better off without them.

The board are either stark raving mad or considering purely their personal situation imo. They seem to have forgotten that the name is mud with government departments. The business can only shrink from here imo if they go it alone.

It looks like NEX is frightened what SGC may find when they look at the books in due dilligence & have hastily called off the merger talks.
IMO, the share price is only going one way & that is south. Any rights issue will further kill the SP, if indeed it can be carried out.
SGC will wait on the sidelines & watch developments before pouncing.

Hhhmmm funny how there have been 2 takeover annoucements getting the shareprive flying both non starters and now they want to do a R.I now the share price is inflated. Looks like a short to me now.

I thought it was telling that the management did not divulge the exact net debt position despite it's obvious importance to shareholders and their appraisal of risk. They also blaimed the 1% debt interest hike on delays in previous merger talks. That is a pathetic excuse imo.

They have a real serious debt problem imo and the cash raise is likely to be at a severely discounted share price. I suspect they will back the SGC package provided it is reasonably fair.

They did manage to reduce debt by 200m in just 6 months, so cash flow can be high and that 1bn of debt would soon be reduced at that rate.

Because Brian Souter would love to get his hands on the West Midlands bus operation and has done ever since his bid to takeover West Midlands Travel was turned down in favour of an MBO in the early 90's.

NX has some highly sort after assets, its just the level of debt that is strangling the group

talk of 40% or so to Nex shareholders means a mkt cap around 800M, as SGC is worth about 1.2bn, which equates to approx 522p per share

It seems SGC are already sounding out major shareholders in NEX for an all share merger.

Imo Major shareholders in NEX would do well to consider what they get with that merger. Apart from gaining a shareholding in a larger concern with much reduced debt ratio's, they get the best transport CEO in the business. A man who despite working in a sector that rigorously controls pricing, has returned margins 50% higher than NEX management for at least the last 5 years and probably the last 10 yrs.

It will be interesting to see how things develop from here. I suspect some major shareholders may have had enough of the Cosmen family controlling things.

They may well consider off loading the remaining rail franchises to Stagecoach while they still have time to run / value to reduce debt. There is no point NEX running them until they expire, as they will never been awarded any future extension / new franshies due to East Coast fall out.
