Big Sam certainly has the physique to be interested in N Brown, given their focus on the generously proportioned. But why doesn’t he simply open an account, rather than buy the lot? My guess is that the ex-wife of the major shareholder knows that something is in the air and wants some skin in the game. Rumours of an imminent “bid” may be greatly exaggerated, though.

And if so, Schroeders wouldn't sell 'cheap' to Lady Allerdice.
My money is still on an Allerdice bid.

Well there is no obvious evidence that they want to buy it and take it private. One of the reasons that they moved the company from the main market to Aim was to take advantage of the inheritance tax concessions applicable to eligible listed companies on the secondary market. Whether there is a predator in the wings is another question altogether and that has to be a possibility given the 50% fall in the shareprice since they transferred to Aim just over 2 years ago.

I may have this all wrong, but if the Alliances were to make an offer to take it private, wouldn't they have to make that offer at the highest price paid in the last 12 months acc to the takeover code?

If so - that would be c.41p now, looking at the chart, but c.34p if they waited til early March?

As I say - apologies if this is incorrect. I'm sure none of us would be very happy with so little!

The other interesting aspect is they've settled the court case 6 month's earlier than the date they mentioned in their guidance in their results for more than they anticipated obviously to speed the process up to put a line under it. You'd only do that if something else is going on behind the scenes like a merger or takeover. Surely?

I was under the impression they had enough stock already (over 50%) to take it private so when the Alliance family started buying even more I'm not sure what the plan is now. Schroder still have a lot of stock the other institutions have reasonably large holdings as well.

The Alliance family own over 50% of the shares and they would not accept a 40p bid for the business. A predator would have to bid north of 60p for them to even begin to show any potential interest.

A 40p bid might be enought to take out the Company completely.
What's the N.Brown Constitution say ? Is it a 75% majority needed to take private / delist ?
