I'm smelling a rat as the RNS on 06/01/21 said 'no new info to disclose after share price upward movement', yet 13 days later on 19/01/21 RNS's board change and share placing? Well if that's not new info to effect SP, unless in those 13 days all the 19/01/21 RNS's was agreed lol. After some investigation taken from Dec 13th 2020. See full in link afterwards 'We'd be surprised if Microsaic Systems plc (LON:MSYS) shareholders haven't noticed that an insider, Colin Nicholl, recently sold UK£195k worth of stock at UK£0.39 per share. On the bright side, that sale was only 7.9% of their holding. Microsaic Systems Insider Transactions Over The Last Year Notably, that recent sale by Colin Nicholl is the biggest insider sale of Microsaic Systems shares that we've seen in the last year. We generally don't like to see insider selling, but the lower the sale price, the more it concerns us. The silver lining is that this sell-down took place above the latest price (UK£0.0045).' I think I can see issues building here. (as i did say on Supply@ME Capital plc, on 19/01/21 before temporary suspension a few days later on audit change irregularly issues) This week there had been some over 1 million shares to 2 million share single buys each day (not 20th but several close to that)at a small cost of £5 - £6 thousand pounds approx. This has caused the share price to surprisingly hold fairly firm. So, with all those shares due to come on the market over 6 billion at 0.1p for all those involved, broker, directors, auditor, investment companies, who are nearly all the people who will get the shares at 0.1p in their placing, option, warrants, fees shares, are wanting to keep the share price up now and this would mean massive profit on any sales once they get the 0.1p shares. So for a few thousands pounds a day between them all it would keep the share price high, increase the % in voting for this deal, and then to offload their shares and make absolute thousands and thousands for hardly any work. So on Feb 5th and a good few trading days before the share price will fall massively. Even at 0.2p they will make 45% profit (taking in trading costs). I can't see why any one would hold now, let alone buy with what's coming. I'm sure the MM who are also getting fee shares at the end won't want to get dumped with too many shares, will lower the share price in the end. There are only 6.2% 28,379,402 General Public shares held, so it is true that even if they all sell 0.2p would be the target. Though if Individual Insiders 8.2% who own 37,385,531 shares start to sell then 0.15 could be the next level target. Application will be made in due course to the London Stock Exchange for 5,620,000,000 Ordinary Shares, including the Placing Shares, the Fees Shares and the Broker Option Shares, to be admitted to trading on AIM. It is expected that Admission will occur and dealings will commence on 5 February 2021 at 8.00 a.m.. The Transaction is conditional upon, amongst other things, Admission becoming effective and is subject to approval at the General Meeting on 4 February 2021. Following Admission, the Company will have 6,076,365,146 Ordinary Shares in issue. Therefore, the Company hereby confirms that the total number of voting rights in the Company will, following Admission, be 6,076,365,146. This figure will be confirmed following the result of the General Meeting on 4 February 2021.

some good valid points paddyfool. A few weeks ago this was going into liquidation and into the administration with no revenue and just about cash to continue. It was saved by warrants, placing and shares to the company doing the placing and audit team at 0.1p So you will get quick sellers for profit, but I would think 50% will hold for a while. I have 0.2p at the placing time, but holders may well see a return later in the year. As for me i'm watching but no investment and not rushing into buying. As for holders you need to see if the share price can grow before the placing.

Time will tell. If what you say is true people should be selling now and buying back later. That hasn't happened. You imply that there is plenty of pent up demand waiting for the anticipated drop as the new shares become tradeable and the participants in the raising sell. What if that doesn't happen? What if the raise was largely placed with institutions? What if those institutions are looking for a three year hold and a target in excess of where we are today?

There are 456 million shares in circulation now that will rise to potentially about 7000 Million shares after the dilution. The share price simply cant remain at this price .... just some advice to small investors .... be careful

I guess people buying here now have not seen the RNS and don't realise the massive dilution about to come. Do the maths before you buy!

Must be value and something in it for deepverge. I have seen the share options / placement at 0.1p so will avoid. I might see value at 0.2p.

In theory you could use the MS for water testing, but that’s fairly tenuous. I was at welsh waters labs recently and they have multiple LCs (with FL detectors) and at least one LC-MS. It’s all bench top rather than “point of need”. Science guy at DV has a background in LC/MS so he should know what it’s about. Admittedly I know little about them, just glanced at their website this morning so could well have missed something. So far though this lot haven’t come close to selling anything close to the amount they need to break even, and unless they can rapidly build an effective distributor network I can’t see them surviving. But I didn’t see DV riding to the rescue either, so they may have a trick up their sleeve.

Does anybody know how Deepverge would be able to use the services of MSYS. I am a shareholder in both, and there must be a connection for GB to want to get involved.

GB wouldn't get a salary and share options if Deepverge bought it outright. Payment in shares for a year and a deal will be stuck to buy it in 3 months after he gets his shares

The warrants won't be a problem as they will time delayed. Of course shares dilution will but to raise money is fair enough. Unless someone steps in and buys it. lol. If the chair will be GB, they you know their is value there. Not in yet but will be when share price right.

The dilution has killed any value here. All those shares and then warrants to hit the market. So a month ago if MSYS hit 1p it would be worth £4 mil but if it hits 1p again this year it could be worth as much as £80 million.

If there was any value here could have bought the whole company for some £2M or less . It had been for sale for ages and no apparent interest - so current implied valuation makes no economice sense, Congratulation to TP for getting the funding away BUT (imo) watch out for the placees trying to unload to the unwashed and unwise for a quick trading margin.

You still have to get a grip on the valuation. If the stock gets placed and price stays the same then market cap jumps 20 fold from 1 mil to £20 mil It's not cheap, infact it's crazily overvalued. You go and get your shopping this weekend at Asda and when it comes to £100 the cashier says that's £400 please and your forced to pay...that's what people are doing here atm. mugs
